Minutes of the Regular Meeting
Held Tuesday, June 18, 2013
Pursuant to due call and notice, the regular meeting of the City Council, City of Mendota Heights,
Minnesota was held at 7:00 p.m. at City Hall, 1101 Victoria Curve, Mendota Heights, Minnesota.
CALL TO ORDER
Mayor Krebsbach called the meeting to order at 7:00 p.m. The following members were present:
Councilmembers Duggan, Povolny, Petschel, and Norton. Mayor Krebsbach noted that City
Administrator Justin Miller was absent and Public Works Director /City Engineer John Mazzitello would
be serving as Acting City Administrator for this meeting. City Attorney Tom Lehmann was also present.

Council, the audience, and staff recited the Pledge of Allegiance.

PULLED CONSENT AGENDA ITEMS
D) APPROVE CANCELLATION OF JULY 2, 2013 CITY COUNCIL MEETING
Mayor Krebsbach explained that due to a light agenda and the possibility of some Councilmembers
being absent, the July 2, 2013 City Council Meeting is proposed to be cancelled. Therefore, the next
City Council meeting would be held on July 16, 2013.
Public Works Director /City Engineer John Mazzitello noted that there may be three planning cases
coming out of the June 25, 2013 Planning Commission meeting. The applicants will be informed of the
meeting change, and if the delay is problem for the applicants, a special meeting could be held with a
three day notice to the public. City Attorney Lehmann confirmed the three day notice requirement.
Councilmember Duggan asked if there would be any problems with the 60 days rule, where an action
must be decided within 60 days of the presentation. Mazzitello replied the 60 day rule would not be
broken.
Councilmember Petschel moved to cancel the regularly scheduled City Council Meeting of July 2, 2013
pending advice from the Planning Commission that with the appropriate notice a special meeting be held
to accommodate planning schedules.

F) APPROVAL OF STAFF REORGANIZATION PLAN
Mayor Krebsbach explained that with the departure of Assistant to the City Administrator Jake
Sedlacek, City Administrator Justin Miller has made the following recommendations:

1. Ms. Tamara Schutta be appointed to the Assistant to the City Administrator position, taking on
several of the duties Mr. Sedlacek had been handling (i.e. Friday News and other
communications, contract management, and other special projects as they arise), and continue to
manage the city's human resources duties
2. Hire a staff person to a position focused more on the planning and zoning activities (both
administrative and those that go to the planning commission), recycling duties, and code
enforcement
3. The parks and recreation duties be transitioned to Recreation Program Coordinator Sloan
Wallgren
City Engineer John Mazzitello stated that even though he has been with the City a short amount of time,
Mr. Wallgren appears to be a very eager and is excited to take on new responsibilities. He also noted
that Ms. Schutta had previous experience as an assistant administrator in East Bethel.
Mazzitello continued by explaining that after having discussions with City Administrator Miller, it has
been decided that the City's consultant planner would be retained. The staff city planner position would
pick up some of the more minor planning activities (routine variances and conditional use permits that
come through the Planning Commission and then to the City Council), leaving code amendments and
rewrites and larger development issues for the consultant planner.
Councilmember Duggan asked questions and made suggestions relating to the job descriptions and
responsibilities of the three positions. Councilmember Petschel noted that she was very comfortable with
the descriptions as they were presented.
Mayor Krebsbach stated that she would like for the Council to have an opportunity to review the three
finalists for the city planner position. Mazzitello noted that department heads are traditionally
interviewed with a councilmember representative on the panel. However, the city planner would be
reporting to the City Administrator and would not be at a pay grade of a department head. He would
leave that decision to the Council's discretion.
Councilmember Petschel moved to approve the staff reorganization as recommended by City
Administrator Justin Miller, that possible Council participation in the interview process for the city
planner be discussed between the Mayor and the City Administrator.

G) APPROVAL OF RESOLUTION 2013 -39 ACCEPTING DONATIONS TO PARKS
CELEBRATION AND 5K RACE
Chief of Police Michael Aschenbrener recognized the donations given for the Parks Celebration and 5K
Race. Donations to Special Olympics Minnesota totaled $7,329.17 plus three checks made directly to
them. Donations to the 5K Race totaled $14,316.00. Donations to the Parks Celebration totaled
$4,550.00.

Councilmember Duggan moved to adopt Resolution No. 2013 -39: "RESOLUTION FORMALLY
ACKNOWLEDGING THE RECEIPT OF THE GIFT TO THE CITY 5K AND THE CITY PARKS
CELEBRATION," and authorize a check to Special Olympics Minnesota for $7,329.17.

L) RECEIPT OF MAY PAR 3 REPORT
Councilmember Duggan wished to note the challenges golf courses are having this year due to the
weather and expressed his desire to see Councilmembers supporting the golf course by playing it. He
has suggested to Recreation Program Coordinator Sloan Wallgren that Council /City Staff challenges be
scheduled.
Councilmember Duggan moved to Acknowledge Receipt of the May Par 3 Report.

Q) APPROVAL OF CLAIMS LIST
Councilmember Petschel asked for an explanation of the City of St. Paul Lemay Lake Project,
Repairs listed under Significant Claims. City Engineer John Mazzitello replied this was work the City of
St. Paul did for the street project last year.

PUBLIC COMMENTS
There were no public comments.
PRESENTATIONS
A) 2012 AUDIT REVIEW - KERN, DEWENTER, VIERE LTD.
Ms. Caroline Stutsman of Kern, DeWenter, Viere Ltd. reviewed their opinion of the City's financial
statements and management's responsibilities versus their responsibilities. The City received an
unqualified opinion, the highest level the City can receive. This is not a change from what the City has
received in the past. Kern, DeWenter, Viere Ltd. believes that the City's financial statements fairly state
the respective financial position of the city as of December 31, 2012.

Kern, DeWenter, Viere Ltd. also conducted a legal compliance audit. They reviewed State Statutes
outlined by the State Auditor and did not come up with any findings related to that particular audit.
Ms. Stutsman then reviewed the financial information, fund activities, and budget details.
Councilmembers asked questions pertaining to specific expenses, which were either answered by staff or
by Ms. Stutsman.

PUBLIC HEARINGS
A) RESOLUTION 2013 -42
VACATION OF 2ND AVENUE ALLEYWAY RIGHT -OF -WAY
Public Works Director /City Engineer John Mazzitello explained that City staff and Council have
discussed the existence of right -of -ways (ROW) that are not developed and not being used as roadway
or utility corridors or for any other public purpose. City staff looked at these rights -of -way and started
vacating those which have determined to serve no public need and would not be utilized in the future.
This particular right -of -way is an undeveloped alleyway that exists east of Vandall Street between 2nd
Avenue and 3rd Avenue and dead -ends into private property. City staff surveyed the adjacent residents in
2010 and again in 2013 and received no negative comments regarding the vacation.
Mayor Krebsbach opened the public hearing. No comments were received from the public.
Councilmember Duggan moved to close the public hearing.

UNFINISHED AND NEW BUSINESS
A) ORDINANCE 452 AMENDING TITLE 3, CHAPTER 2, TOBACCO SALES
The Police Department has been researching updates for the regulations of tobacco. Chief of Police
Michael Aschenbrener presented a proposed amendment to the Code which would prohibit smoking
within establishments licensed to sell tobacco. The ordinance amendment will allow for a more
reasonable transition to the more comprehensive ordinance amendment coming before the Council later
in 2013.

CHAPTER 2 THE CITY CODE, TOBACCO SALES.

B) RESOLUTION 2013 -43
AWARD BID FOR HIGHWAY 110 / DODD ROAD INTERSECTION IMPROVEMENTS
Public Works Director /City Engineer John Mazzitello stated a feasibility study was completed in 2009
on pedestrian improvements at the Highway 110/Dodd Road intersection, which resulted in the City
obtaining a grant from the Metropolitan Council. On June 5, 2013 the City opened the bids for the
project, with three bids being received. The lowest bidder was Urban Companies, LLC located in
Vadnais Heights, MN. Their successful bid amount was $284,513.00, which was slightly over the
engineer's estimate of $277,969.00. The project is proposed to be completed by September 3, 2013.
Funding for this project will come from a grant in the amount of $174,784.80 and city funds in the
amount of $43,696.20. The City will also pay for trail relocation costs of $66,032.00.
Councilmember Norton moved to adopt RESOLUTION 2013 -43, A RESOLUTION ACCEPTING
BIDS AND AWARDING CONTRACT FOR THE HIGHWAY 149 (DODD ROAD) & HIGHWAY
110 PEDESTRIAN IMPROVEMENTS PROJECT (PROJECT #200819).

COMMUNITY ANNOUNCEMENTS
Chief of Police Michael Aschenbrener noted the following events:
Friday, June 21 — Police officers, in conjunction with Safe Kids Minnesota, will start handing out
certificates that are good for ice cream cones at any participating Dairy Queen to promote interaction
with youth in the community.
If any resident is interested in hosting a Neighborhood Watch Gathering, they should contact Officer
Denise Urmann to schedule an appointment to meet with her.
Mayor Krebsbach asked if there would be fireworks at Mendakota Country Club. Public Works
Director /City Engineer John Mazzitello replied that as far as he knows there would be.
COUNCIL COMMENTS
Councilmember Duggan stated that Connie Evingson would be performing at The Village Market
Square on Wednesday, June 19.

He also noted the passing of Ms. Eleanor Donovan who was instrumental in, and devoted to, the creation
of Marion Center in St. Paul.
He highly recommended the Haiku Japanese Bistro as a great place to eat. He noted that a Haiku goes as
follows: "Welcome to Mendota Heights, Food and Decor, Delight ".
Councilmember Petschel noted that the Council approved some personnel action on the consent agenda
that involved promoting Tamara Schutta, giving new responsibilities to Sloan Wallgren, and approved
the hiring of a new planner. She made the observation that the City has wonderful staff and that under
City Administrator Justin Miller there has been some wonderful hires made. She complimented the
administration and all of the staff on how wonderfully everything comes together and how wonderfully
the work gets done as that does not happen by accident.
She also noted the grand opening of White Pines and encouraged everyone to go over and take a look.
Mayor Krebsbach expressed her appreciation and thanks to the Council and staff for a productive
workshop meeting that took place prior to this Council meeting.

Minutes of the Council Workshop
Held Tuesday, June 18, 2013
Pursuant to due call and notice thereof, a workshop of the City Council, City of Mendota Heights,
Minnesota was held at 5:30 p.m. at City Hall, 1101 Victoria Curve, Mendota Heights, Minnesota.
CALL TO ORDER
Mayor Krebsbach called the meeting to order at 5:30 p.m. The following members were present:
Councilmembers Duggan, Norton, Petschel, and Povolny. Also in attendance: Public Works Director /City
Engineer John Mazzitello and City Clerk Lorri Smith.
WEST ST PAUL /SIBLEY HOCKEY ARENA TASK FORCE PROPOSAL
The Council discussed a proposal received for creating a Sibley Area Hockey Arena Study Task Force with
area cities and School District #197. Paul Erickson, Executive Director of the Minnesota State Amateur
Sports Commission, was present to discuss the Commission's role in assisting communities in conducting
feasibility studies for construction of new ice arenas.
Mr. Erickson explained the steps a task force would take. The Study Task Force would look at youth
hockey needs in the area as well as exploring potential funding options. It is estimated the task force would
need one year to complete their study.
The task force would have 7 members, one to be appointed by the City of Mendota Heights. Mayor
Krebsbach stated she would like the Council to make a decision on participation in the task force by the
first week of August 2013.
ORDINANCE 454, GARAGE CODE AMENDMENTS
The Council discussed a potential zoning code amendment impacting accessory structures and garages.
John Mazzitello reviewed the proposed changes with the Council. The amendments would allow
residential properties to have two garages and updates the way the maximum area for a detached garage is
determined. The changes also reduce the total number of accessory structures allowed. Properties more
than 4 acres in size would be allowed to have two accessory structures. Garage doors would also be limited
to a maximum of 36 lineal feet per structure.
The ordinance also includes changes which state that accessory structures must have finishing materials
identical to the principle structure. City Attorney Tom Lehmann suggested better language which the
Council accepted.
Council member Norton stated that due to the many different types and sizes of residential lots in the city, a
different zone determined by the size of each lot may be appropriate.
Mayor Krebsbach suggested this item be brought to another workshop session so the Council can discuss
further.

The regular meeting of the Mendota Heights Planning Commission was held on Tuesday, June
25, 2013, in the Council Chambers at City Hall, 1101 Victoria Curve at 7:00 P.M.
The following Commissioners were present: Chair Field, Commissioners Roston, Noonan,
Hennes, Hennesey, Magnuson, and Viksnins. Those absent: None. Others present were Public
Works Director /City Engineer John Mazzitello, and NAC Planner Stephen Grittman.

PLANNING CASE #2013 -08
Rebekah Villafuerte of 713 Marie Avenue
Conditional Use Permit for fence installation
Planner Stephen Grittman explained that this request is a for a conditional use permit for the
construction of a fence in a side yard that abuts the street. The property is located on the corner
of Marie Avenue and Dodd Road and is zoned and guided for Single Family Residential Use.
The property is currently occupied by a single family home and the applicant is proposing to
construct a fence on the Dodd Road side of the property. The Zoning Ordinance states that
fences within 30 feet of a roadway can only be 36 inches in height, except by a conditional use
permit. The applicant's property is a "corner lot" and is accessed from the south via Marie
Avenue West. The applicant wishes to enclose the rear yard of her home with a wooden,
shadowbox panel type fence. The fence, as proposed, appears to meet all of the requirements for
both the fence ordinance and for the conditional use permit approval.
Staff recommended approval of the conditional use permit.

Commissioners asked questions regarding the ownership of the chain link fence that would abut
with this new fence, code requirements for maintenance and appearance of the fence, and
location of the fence in relation to existing trees in the area.
Chair Field opened the public hearing.
Neighbors Louis and Nancy Strobel, 1781 Dodd Road expressed their opposition to this fence.
There being no other comments from the public, Chair Field asked for a motion to close the
public hearing.
COMMISSIONER ROSTON MOVED, SECONDED BY COMMISSIONER HENNES, TO
CLOSE THE PUBLIC HEARING.

COMMISSIONER VIKSNINS MOVED, SECONDED BY COMMISSIONER ROSTON,
APPROVAL OF THE CONDITIONAL USE PERMIT FOR FENCE CONSTRUCTION
GREATER THAN 36" IN A REQUIRED YARD ADJACENT TO A RIGHT -OF -WAY AS
PROPOSED BY THE APPLICANT, BASED ON THE FOLLOWING FINDING OF FACTS:
1. The proposed project will not impact traffic visibility at the Dodd Road/Marie Avenue West
intersection
2. The proposed fence type and height are consistent with Ordinance requirements
3. The fence is compatible with the established character in the area and will not negatively
impact any neighboring properties.
Comment was made by Commissioner Roston that the City has elected not to make these types
of fences unpermitted and therefore, the Commission cannot deny the conditional use permit
based on aesthetics.

PLANNING CASE #2013 -09
Sean Hoffman (Wieland, Inc.) for British Petroleum Fuel Station at 2030 Dodd Road
Setback Variance for fuel station canopy expansion
Planner Stephen Grittman explained that this request pertains to a commercial property that is
zoned 132- Neighborhood Business and is guided for mixed use planned unit development. The
applicant and operator of the fuel station located on the property is asking for two changes to the
current site, both of which would require variances given the configuration of the property. The

first relates to the canopy, which he would like to replace with a slightly larger one. The code
allows for canopies to encroach into the normal front yard setback but maintaining a 20 foot
setback from the right -of -way line. The current and proposed canopies are at 15 feet setback
from Dodd Road.
The second request is to expand the parking lot in the northeast corner of the site. Currently the
parking lot is designed with curb line angling off of that portion and the applicant is proposing to
extend the parking paved area to within approximately five feet of the property line, both on the
east and on the north sides. The code requires a setback requirement for commercial parking lots
of 10 feet; as a result the applicant is seeking a variance to expand the parking lot to that five foot
setback line.
Staff recommended approval of both variance requests.
Commissioners asked questions regarding language in the list of conditions for approval and
whether the request for the parking lot variance was for additional parking spaces or more
efficient use of the lot, vegetation in the parking lot area, and lighting in the new canopy.
Chair Field opened the public hearing.
Seeing no one coming forward wishing to speak, Chair Field asked for a motion to close the
public hearing.

TO CLOSE THE PUBLIC HEARING.

COMMISSIONER ROSTON MOVED, SECONDED BY COMMISSIONER NOONAN, TO
APPROVE THE CANOPY SETBACK VARIANCE BASED ON THE FOLLOWING
FINDINGS OF FACT:
1. The existing degree of canopy setback nonconformity will not be increased
2. Other than setback requirements, all canopy- related requirements of the Ordinance (i.e.
lighting, signage and height) will be satisfied
3. The provisions of the Zoning Ordinance have imposed a practical difficulty upon the
applicant which prevents use of the property in a reasonable manner
4. The practical difficulties resulting from the provisions of the Ordinance are unique to the
subject property
AND SUBJECT TO THE FOLLOWING CONDITIONS:
1. Approval of the setback variance is documented as part of an amended or new conditional
use permit applied to the subject property
2. The new canopy shall not exceed 20 feet in height
3. Signage affixed to the new canopy shall conform to applicable requirements of the Ordinance

Planner Stephen Grittman explained that this a request for a conditional use permit to construct a
fence six feet in height within a 30 foot setback. The property is located at 1807 Walsh Lane, at
the corner of Marie Avenue and Walsh Lane, and is zoned and guided for single family use. This
fence would be along the Marie Avenue side of the property. The applicant is proposing to
construct an alternating board fence that would extend from the rear corner of the property
towards the Marie Avenue right -of -way line and parallel to Marie Avenue to the back corner and
then return to an existing fence at the neighbor's property line.
Commissioner Roston noted that these types of conditional use permit requests are received quite
frequently and are typically passed. He then asked at which point the Commission would
recommend an amendment to the code. Planner Grittman replied that he believes staff would
consider a motion from the Planning Commission on amending this portion of the code as only

Commissioners selected this address as a site visit due to its proximity to the airport and the noise impacts
associated with it. Unfortunately, the wind patterns were such that planes were not departing off of Runways
12L and 12R, so it was difficult to gauge the noise that homeowners experience in this area.
Acknowledee Receipt of Various Reports /Correspondence
The monthly reports for May 2013 were acknowledged and commissioners updated their respective areas of
focus. Lorberbaum noted that the number of complainants from Minneapolis spiked to an all -time high during
the month of May. Miller informed the commission that Mendota Heights resident Jill Smith has applied to
serve on the Metropolitan Airports Commission.

Since 2003 we have sent one of our two investigators to the annual training conference.
Investigator Chad Willson is signed up to attend this year's conference, which is set for September 10 —
12 in Bloomington, Illinois.
This is a budgeted training item.
RECOMMENDATION:
I recommend that the out -of -state travel is approved.
ACTION REOUIRED:
If the Council so desires to implement the recommendation, please pass a motion authorizing Investigator

Earlier this year, City Council gave approval for staff to begin the hiring and recruitment process
for two Par 3 seasonal golf course maintenance workers. One of our seasonal golf course
maintenance works is currently out on an extended personal leave. We anticipate that he will be
returning in the fall. To assist with the maintenance of the Par 3, staff interviewed Jim Knox.
Staff met with Jim to discuss the position and expectations. Staff is recommending Jim Knox for
the golf course part-time maintenance worker position. His hourly rate for the seasonal golf
course maintenance position will be $10.00 per hour.
Staff is recommending Jim Knox for employment effective June 25, 2013 for the 2013 golf
season.
BUDGET IMPACT
As noted above.
RECOMMENDATION
City staff recommends that city council appoint Jim Knox for seasonal golf course maintenance
position for the 2013 golf season with an effective date of June 25, 2013.
If council concurs in the recommendation, a motion should be made to approve the appointment

BACKGROUND
In April of 2011, the City Council authorized the replacement of the first reserve squad that was
a donation from a neighboring community with a 2008 Ford Crown Victoria. Approximately a
month ago the city mechanic advised the current reserve squad was popping spark plugs out.
The problem has been fixed and the squad is back in service; however the mechanic
recommended purchasing the sergeants' squad when it came out of police service to replace the
aging reserve squad. The reserve car replacement was scheduled to be a 2014 budget item.
The Minnesota Department of Administration Fleet Services has quoted the purchase price of the
used sergeant's squad at $6500. To change it a reserve squad, the car will need to have the
graphics changed from "Police" to "Reserve and have a light bar installed.
Sergeant Garlock has requested quotes from cab companies to purchase the 2008 Crown
Victoria. To date, one quote has been received on the current reserve squad of $2025.00. More
bids will be solicited and the car will be sold to the highest bidder.
BUDGET IMPACT
This is not a 2013 budgeted item; however, the reserves have money in their budget line that can
be used for the vehicle purchase. Depending upon the bids received for the car, the maximum
amount spent would be $4475.00. The cost of graphics as well as the cost to install wiring for a
light bar is already in place; these costs would be minimal and would come from the repair and
maintenance line of the budget. The reserves would defer other purchases into the 2014 budget
cycle to keep the budget balanced.
RECOMMENDATION
Authorize staff to sign a purchase order for the State of Minnesota Department of Administration
Fleet Services for $6500 dollars and to sell the used Ford Crown Victoria to the highest bidder.

BACKGROUND
The City of Mendota Heights has had two requests in the last two years to perform a day care
inspection within the city. Effective August 1, 2002, a new law was enacted allowing fees to be
collected for fire inspections of day care facilities. The State Fire Marshal's office requires an
inspection be done by a local fire marshal or the State Fire Marshal to determine compliance
with the State Fire Code under section 299F.011. Fire Marshal Jim Lee is an approved inspector
eligible to do day care inspections.
The law also states the approved fire marshal may recover the cost of these inspections through a
fee of no more than $50.00 per inspection charged to the applicant or license holder.
BUDGET IMPACT
There will not be a big increase to the budget because of the low number of inspections that are
requested. The fee does help cover the cost of the Fire Marshal's time for doing the required
inspection.
RECOMMENDATION
Staff recommends that the City Council approve Resolution 2013 -44 Revising the Schedule of
Fees for Services. This action requires a majority vote of the city council.

TO ADD A FEE FOR DAY CARE INSPECTIONS
WHEREAS, the City of Mendota Heights adopted Resolution 2013 -03 "Revising
Schedule of Fees for Services" on January 8, 2013; and
WHEREAS, the City of Mendota Heights has established by City Code that all fee
requirement established be brought forth by resolution; and
WHEREAS, the cost of services provided escalates and new services require a fee to be
set; and
WHEREAS, it is appropriate that fees be revised to cover the escalating costs of
providing services and to cover new services.
NOW THEREFORE BE IT RESOLVED, the fee schedule be amended to add a new
fee for day care inspections at $50.00 per inspection beginning August 1, 2013.
NOW THEREFORE BE IT RESOLVED, by the Mendota Heights City Council, that
the attached revised City of Mendota Heights fee schedule is hereby adopted and approved.

BACKGROUND
Firefighter Keith Stein announced his retirement effective August 31, 2013. Keith became a
firefighter with the Mendota Heights Fire Department in May of 1983 and will have served 30.3
years when he retires.
Keith will be missed as he was an active member in the fire department during his 30+ years of
service. Keith was the "George Lowe Firefighter of the Year" in 1989 and served two different
terms as Captain serving over 19 years in an officer role. Keith was certified to the Firefighter II
level and trained to the Haz -mat Technician level.
Keith had a willingness to step up to the plate and do whatever was needed to get things done.
He has managed our radios and pagers for the last 15 years and with his welding skills
constructed the hose racks that we have at the station. In addition, he loves cook and was always
willing to step forward to make a special meal. When the department used to hold its retirement
dinners at the station he was the lead cook of some phenomenal meals. He also led the hot dog
cooking for the annual Halloween bonfire since the department took it over from the Russ Wahl
family.
While Keith is retiring he is leaving a legacy behind in the department in that his son, Training
Officer Dale Stein, is following in his father's footsteps.

I recommend that the City Council regretfully accept the retirement of Keith Stein effective
August 31, 2013. If Council concurs with my recommendation, they should formally thank
Keith Stein, his wife Rhonda and his family for his 30+ years of service to our community as a

BACKGROUND
In July of 2011, a plan was developed to redesign the front office for improved useable space.
Bids were accepted for cabinets at that time and the low bid was from Generations Custom
Cabinets. The first phase was completed by early 2012 with no overages and turned out very
nice. The next phase was budgeted for in 2013 and the same vendor will be used for design
consistency. With the completion of the second phase there will be one area of the front office
remaining for completion that will be budgeted for in 2014.
The second phase will match the work station immediately inside the door ($2750) with the
already completed one, finish the paneling ($750) of the front area and replace the cabinets in the
work area near the front windows ($3765). The cost for installation is $363.25 for a total on the
project of $7628.25.
Per the city purchasing policy any expenditure over $5000 requires City Council approval.
Please see the attached proposal for this project.
BUDGET IMPACT
The work was budgeted in the 2013 budget and will be spent from line 020 -4331. The project
will be competed in 2013.

BACKGROUND
The month of June was a very active month out at the Par 3 Golf Course. Our Wednesday Night
Women's League started on June 5th, and our Junior Golf Camps and Leagues started the week
of June 10th. We have 120 youth participating in our Junior Golf Leagues, and 76 youth
participated in Golf Camps during the month of June.
We have several small golf events taking place during the month of July at the golf course. If
anyone is interested in hosting an event at the Par 3 please contact the Clubhouse.
There are some exciting promotional opportunities taking place July. We have a direct mailer
coupon going out to over 10,000 homes in mid -July and we will be featured on Groupon at the
end of July.
MAINTENANCE UPDATE
• We have hired an additional staff member to help keep up with mowing and maintenance
projects at the golf course. This employee will work about 20 hours a week, and will be
available until the course closes for the season.
• The current condition of the course is great. In the past two weeks we have received may
compliments on course conditions.
• We lost one tree during the storm on June 21, 2013. Our Parks Maintenance staff was able to
remove and dispose of the tree in about two hours.
• In early July we will be doing maintenance to the collars of the greens to help the grass grow.
The areas that we treat should start to see growth in about three to five days.
• Staff started up the irrigation system in June. There was one irrigation head that had to be
repaired.
BUDGET IMPACT
The attached monthly expenditure report shows revenues and expenditures through the end of
June. The course has taken in $65,827 in revenues; expenditures for this period total $47,223.
This results in net revenue over expenditure of $18,604 year to date.

BACKGROUND
The city auditor has advised that Minnesota State Statute 465. 03 " Gifts to municipalities"
requires all donations be acknowledged by resolution. This memo meets Minnesota State
Statutory requirements.
The city recently received a donation from the Mendota Heights Moms Club to plant a tree at
Hagstrom King Park. Members of the Mendota Heights Moms Club had the opportunity to take
pictures this past week when the Red Oak tree was planted.
Staff recommends the City Council pass the attached resolution accepting the donation to
purchase a tree for Hagstrom King Park.

RECOMMENDATION
If Council desires to implement the recommendation, pass a motion adopting Resolution No.

WHEREAS, the City of Mendota Heights desires to follow Minnesota Statute

WHEREAS, the City has previously acknowledged gifts with a resolution; and

BACKGROUND
Mary Magnuson submitted a planning application to replace an existing wood deck/patio with a
paver block patio at 1831 Hunter Lane. The property is guided and zoned as single family
residential and used as a single - family home.
Under Mendota Heights City Code Title 12, Chapter 3, Section 5, Paragraph D, certain Critical
Area Permit applications can be brought directly to City Council without public hearing before
the Planning Commission. Ms. Magnuson's application meets the criteria for the application to
come directly to City Council.
Ms. Magnuson is proposing replacing the existing wood deck, which sits currently about one
foot off the ground, with a paver patio and a step down out of her home. The paver patio would
be consistent is size with the current deck, would not alter the grade of the area, and would not
substantially increase the amount of impervious surface on the lot.
The proposed deck otherwise meets all code requirements. City Code Title 12, Chapter 3 allows
minor developments for single - family dwellings to be forwarded to city council without planning
commission review. This request has no discernible impact upon the Mississippi River Critical
Corridor Area.
BUDGET IMPACT
N/A
RECOMMENDATION
City staff recommends approving the conditional use permit as described in planning case 2013-
11. If city council desires to implement this recommendation, pass a motion adopting

WHEREAS, Mary Magnuson has applied for a Critical Area Permit to remove an existing deck

Hi Justin - -I don't have John's email with me but would it be possible to forward this to him as Jake requested ?. I am in
France and don't know if a short email description will suffice. If not I will deal with it when I get back, but I suspect that
puts us off July agenda?
In short, we are hoping to remove our old worn out deck in the back of the house ( the wood is rotting in a few areas)
and replace it with a stone paver patio of the same approximate size. The finished patio will be about 15x24 and will run
from the south end of the house to the screen porch, then out about15 feet. The grade will stay mostly the same with
the exception of some leveling, and we don't foresee the need for fill or removal of dirt. The deck is currently just off
the ground by about 1 foot and we anticipate stepping down one step on to the new patio to meet the current
grade. We will have to step up one step to enter the porch. There will be boulders used as the patio border and the
steps will be of chilton stone.
That's about it -- it's a fairly simple project. Can you let me know if you need more info? Thanks very much!

BACKGROUND
Pursuant to Mendota Heights City Code 3 -6 -2: No person shall provide massage services or engage
in the business of operating a massage enterprise, or in connection with any other city business
enterprise without first obtaining a license. The licenses run from July 1 through June 30 of each
year.
Renewal applications have been received from the following:
• Massage Therapist Patricia West working at Green Lotus Yoga and Healing Center
New applications have been received from the following:
• Massage Establishment: Bellacu, LLC, 1200 Centre Pointe Curve
• Massage Therapist Joni Blomquist working at Bellacu
All of the required documentation has been received and the fees have been paid. Background
investigations have been conducted by the Mendota Heights Police Department resulting in no
negative findings on any of the above applicants.
If approved, the renewal license for Patricia West will be effective July 17, 2013 through June 30,
2014.
The new licenses for Bellacu, LLC and Massage Therapist Joni Blomquist will be effective
August 1, 2013 through June 30, 2014.
RECOMMENDATION

BACKGROUND
The Convent and Academy of the Visitation is seeking host approval from the City of Mendota
Heights to issue tax exempt bonds through the City of Lilydale. Visitation is seeking to issue up
to $6,000,000 for their project. Each year the city can issue up to $10,000,000 of bank qualified
tax exempt financing. In 2013, the City of Mendota Heights would have exceeded that threshold
had we issued the bonds for Visitation. Lilydale was able to assist Visitation in issuing the
bonds. Since the project is located in Mendota Heights we will need to give host approval. At
the August 6, 2013 city council meeting we will hold a public hearing seeking host approval for
the bonds to be issued for the Visitation project by the City of Lilydale.

Rehabilitation Projects
BACKGROUND
Street signs throughout the city were installed as each neighborhood was developed. Many of the street
signs are in need of replacement due to their diminishing reflectivity and legibility. Street signs are
typically replaced in conjunction with street reconstruction or rehabilitation projects.
In 2012, the City of Mendota Heights completed the following street projects: Marie Avenue
Rehabilitation from Dodd Road to Delaware Avenue, Mendota Heights Road Rehabilitation from Dodd
Road to Delaware Avenue, Diane Road Neighborhood Rehabilitation, and the Lemay Lake Road
Neighborhood Improvements. In 2013, the City of Mendota Heights is currently constructing the
following street projects: Crown Point & Overlook Neighborhood Rehabilitation and the Hunter &
Orchard Neighborhood Improvements.
The current street signs in these neighborhoods are in need of replacement. The current shape, text (size
and font) and color of the current signs no longer meet specifications prescribed within the Manual on
Uniform Traffic Control Devices (MUTCD).
Staff requested proposals from four signage companies and received proposals from three of the
companies. Earl F. Andersen aka EFA provided a quote with an estimated cost of $30,247.46 to complete
the signage replacement for the 2012/2013 Street Improvements Projects. The other quotes received had
prices of $40,194.49 and $43 078.75. Staff has worked with EFA in the past and staff feels that they will
complete the work to our satisfaction.
BUDGETIMPACT
Signage replacement was included in the feasibility reports for each project. Staff anticipated the signage
replacement costs and a summary is shown below:

BACKGROUND
Funding for street paint striping is included in the Public Works Street Cleaning and Striping Budget.
Following completion of the street sweeping operations, any remaining budget is allocated to paint
striping or markings on city streets. The remaining budget after the spring street sweeping for 2013
is approximately $22,712.30. Staff estimates that a fall sweeping will cost approximately $4,000.
The following streets are proposed to receive paint striping this year: Acacia Boulevard, Acacia
Drive, Center Pointe Curve, Center Pointe Drive, Dakota Drive, Emerson Avenue, Enterprise Drive,
Lake Drive, Market Street4hghway 110 Frontage Road, Northland Drive, Summit Lane, and
Warrior Drive.
City Council approved the use of epoxy enamel marking paint, which lasts two to four times longer
than the paints previously used. This product is extensively used by Dakota County and MriDOT.
Four quotes were solicited for the work and two quotes were received for the project:

Mendota Heights Public Works Facility is without a standby backup power system. Currently
during a power outage the city would not be able to utilize the fuel pumps, service garage or any

Mendota Heights purchased a 100KW generator in November of 2012. The generator has been
delivered and is ready to be installed. Quotes have been solicited from two electricians for the
installation of the generator. Two quotes have been submitted to the city.

facility reserve fund. All funds have an adequate balance to allow for this installation.

Heights Road Force main
BACKGROUND
City Council, at their April 16, 2013 meeting, authorized staff to seek professional services for
the assessment of replacement options of the Mendota Heights Road Force Main. The force main
has been experiencing a break frequency within the last few years which has city staff concerned
with the useful life remaining in the pipe. There have been 5 breaks within the past few years in
which the city has had to hire a contractor to make an emergency repair. These repairs typically
cost around $25,000- $35,000 for each occurrence.
The RFP was published and invitations were sent to three consulting firms that specialize in
sanitary sewer work. Two proposals were received and evaluated by staff using the criteria
published in the RFP.
Bolton & Menk submitted a proposal for the design, surveying and inspection of the project for a
not -to- exceed fee of 49,560.00. The second quote submitted by Foth engineers was $69,845.00.
BUDGET IMPACT
The proposed contract price of $49,560 will be expended out of the City's Sanitary Sewer Utility
Fund. The fund has an adequate balance to accomplish the design and construction and will be
updated in the Sanitary Sewer Improvement and Maintenance Plan (SSIMP).
RECOMMENDATION
Staff recommends Council accept the proposal of Bolton & Menk, Inc. for the proposed not -to-
exceed price of $49,560.00. If Council wishes to implement the staff recommendation, pass a

2. That the City Administrator, with the aid and assistance of the Public Works
Director /City Engineer be and is hereby, authorized and directed to execute a
professional services contract agreement with Bolton & Menk, Inc. for the not -to- exceed
price of $49,560.00 to complete work as outlined in the RFP and the accepted proposal
document.

ABOUT A ROAD ABOUT TO BE TAKEN
Unnecessary "improvements" in the section of Victoria Road south
of Marie have been announced and initial surveys have begun.
According to recent mailings from the city this "rural section" will
lose this description, thus destroying its appealing reference to its
farm road past. It is possible that with a careful, complete
reconsideration a significant portion of the funds for this project
could be saved.
A starting question could be: Why doesn't Lexington, which has
more traffic, have a curb? (Recent cement workings introducing
crosswalks indicate none are planned.)
Some points for consideration:
1. ROAD WIDTH: According to unscientific, regular
observation, only about 10% to 15% of the traffic arriving at
Marie's stop signed intersection with Victoria turns or heads
straight on to the south section of Victoria. A road wider than the
current 24' with curbing, etc. would invite more traffic because it
would appear that the speed of the other approach roads could be
continued.
2. PARKING: Only about 3 or 4 times a year is there over-flow
parking from a driveway. When the road is so used, the few
vehicles are mostly on the grass, not blocking two-way flow on
road.
3. DRAINAGE: Especially at the north end of the section, at the
top of the rise, there is more than enough of a grass lined ditch to
accommodate even the largest of rainfalls. Any flowage problems
at the bottom of the raise, where houses were built in known flow
zones, could be solved with off road drainage. The rise to the south
as it turns west seems to have no flowage problems.
4, PEDESTRIAN ISSUES: There are not perceived problems with
the side walks, corners or crossings. Except for a few utility
vehicles from time to time, they are not parked upon. The cracks
give them character.
Incidentally, much of the thinking above could be used when
assessing the needs for the section of Victoria north of Marie.
In sum, save the green space. Every little bit helps. Please at least
leave the section south of Marie as a "road less traveled by," it
would make "all the difference."

BACKGROUND
Rebekah Villafuerte submitted a planning application to construct a fence greater than 3' high
within a 30' setback from public right -of -way at 713 Marie Avenue. The property is guided and
zoned as single family residential and used as a single- family home.
Steve Grittman of NAC Planning presented the request to the planning commission at their
regular meeting on June 25, 2013. This type of fence request is allowed with a conditional use
permit. Under the conditional use permit, a fence may be placed up to the property line. In this
request, the applicant is seeking to place the fence at a setback of approximately 18' from the
property line at its closest location. A site plan diagram of the proposed fence location is
attached for reference.
Ms. Villafuerte explained to the commission that she was seeking the fence as a security measure
for her children who often play in the yard. She also stated that due to the busy nature of the
intersection the fence was also for a measure of privacy for her backyard.
The planning commission conducted a public hearing, and one neighboring property owner
spoke objecting to the fence due to its design. The neighbors would have preferred a chain -link
fence over the shadow -box (alternating vertical plank) fence proposed.
BUDGET IMPACT
N/A
RECOMMENDATION
The planning commission recommended approving the conditional use permit as described in
planning case 2013 -08. If city council desires to implement this recommendation, pass a motion
adopting RESOLUTION 2013 -46 APPROVING A CONDITIONAL USE PERMIT FOR A
FENCE GREATER THAN THREE FEET AT 713 MARIE AVENUE. This matter requires a
simple majority vote.

Background and Description. of Request.-
The applicant is seeking approval of a conditional use permit to place a six foot high
fence in a required yard adjacent to a public right-of-way (Dodd Road). The Zoning
Ordinance states that fences in such required yards cannot exceed 36" in height without
the granting of a conditional use permit. The applicant's property is a "corner lot" and is
accessed from the south via Marie Avenue West.
The applicant wishes to enclose the rear yard of her home with a wooden, shadowbox
panel type fence. The fence segment in question (prompting the conditional use permit)
would be erected on the east side of the home along Dodd Road and extend from the
front building line of the home to the north rear property line.
Analysis
As noted, the applicant is proposing to fence the rear yard of her property. Because the
fence segment along the east property line lies within 30 feet of a public right-of-way
(Dodd Road) and exceeds 36" in height, the processing of a conditional use permit is
required. At its closest point, a fence setback of 15 feet from the Dodd Road right-of-
way line is proposed.

According to the applicant, a fence six feet in height is desired to provide privacy for her
and her young children. The applicant does not believe that a fence 36" inches in
height (as allowed without a CUP) would provide adequate privacy.
Gates to the fenced rear yard are proposed from the east (along Dodd Road) and on
the west side of the residence (facing south). The gate locations do not obstruct access
to the home's driveway and are considered acceptable.
According to the Ordinance, no fences, structures, manmade berms, or plantings may
exceed thirty 36 inches in height above the center grade of the intersection within any
front or side yard area on a corner lot which may interfere with the visibility across the
corner. The proposed fence will not impact visibility at the Dodd Road/Marie Avenue
West intersection.
To be noted is that an approximate 80 foot section of the fence along the north rear lot
line will abut an existing chain link fence. While not specific to the CUP, this is noted as
maintenance of the outward facing side of the proposed fence could be problematic.
The applicant should recognize that future staining (or re-staining) may need to be
accomplished by removing and re-installing the abutting fence segment. The proposed
fence is however, to be constructed of treated lumber and therefore is not expected to
be subject to rot.
Action Requested.-
Following a public hearing, the Planning Commission may consider one of the following
recommendations:
1 Approval of the conditional use permit for fence construction greater than 36"
in a required yard adjacent to a right-of-way as proposed by the applicant,
based on the findings attached to this report.
2. Denial of the conditional use permit based on a finding that the proposed
fence will have a negative impact on the neighboring properties.

The applicant wishes to enclose the rear yard of the home with a wooden, alternating
board style fence. The fence in question (prompting the conditional use permit) would
be erected on the norht side of the home along Marie Avenue and extend from the front
building line of the home to the north rear property line.
Analysis
As noted, the applicant is proposing to fence the rear yard of the property. The
proposed fence would extend from the rear corner of the home to within a foot or so of
the property line (the right of way line for Marie Avenue). The fence would parallel the
property line to the west, then turning south to connect with an existing fence along the

south common boundary line, where it would join with a fence of similar construction
owned by the neighbor.
Gates to the fenced rear yard are proposed from the east (facing Walsh Lane) and on
the north side of the residence (facing Marie). The gate locations do not obstruct
access to the home's driveway and are considered acceptable.
According to the Ordinance, no fences, structures, manmade berms, or plantings may
exceed thirty 36 inches in height above the center grade of the intersection within any
front or side yard area on a corner lot which may interfere with the visibility across the
corner. The proposed fence will not impact visibility at the Walsh Lane/Marie Avenue
intersection.
Action Requested.,
Following a public hearing, the Planning Commission may consider one of the following
recommendations:
1 Approval of the conditional use permit for fence construction greater than 36"
in a required yard adjacent to a right-of-way as proposed by the applicant,
based on the findings attached to this report.
2. Denial of the conditional use permit based on a finding that the proposed
fence will have a negative impact on the neighboring properties.

Fuel Station Setbacks
BACKGROUND
Sean Hoffman, on behalf of Wieland, Inc. has submitted a planning application in conjunction
with proposed improvements to the BP motor fuel station located at the above address south of
Highway 110 and east of Dodd Road. The planning application requests two variances as part of
the project. Motor fuel stations are allowed by conditional use in the in the B -2 zone.
To complete the desired project, the applicant is seeking two variances. Approval of the
following would be necessary for the applicant to proceed:
1. Variance to allow an overhead canopy less than 20 feet from a street right -of -way (15
foot setback proposed)
2. Variance to allow surface parking within 20 feet of an exterior property line (5 foot
setback proposed)
Because the motor fuel station operates under a Conditional Use Permit (CUP), these variances
would technically be amendments to the existing CUP.
The planning commission heard the request at their regular meeting on Tuesday, June 25, 2013.
Planner Grittman reviewed his report, noting that the requested 15 -foot setback is already in
place with the existing canopy and that the new variance is necessary to accommodate the
additional 10 feet of canopy proposed. Mr. Grittman also noted that the size and unique shape of
the lot does not adequately allow for strict adherence to the 20 foot setback rules.
Mr. Hoffman then spoke to the Planning Commission explaining the need for each of the
variances requested. Mr. Hoffman explained that the current canopy does not adequately cover
customers at refueling locations near the pumps and that the parking area expansion is already
paved and only needs to be designated and utilized as parking. The expanded canopy would
better serve his customers, who are largely residents of Mendota Heights, and the parking
expansion would facilitate better traffic flow through the lot.
There were no comments at the public hearing.

Background and Description of Request.
Sean Hoffman, on behalf of Wieland Inc., has submitted plans calling for improvements
to the BP motor fuel station located south of Mendota Road West (Highway 110) and
east of Dodd Road.
Specifically, the applicant wishes to replace the existing fuel pump canopy with a larger
canopy (to better protect existing fuel pumps). The canopy is proposed to be expanded
from 26 to 36 feet in width.
In addition, the applicant wishes to expand the station's off-street parking area on the
north side of the building to provide greater maneuvering space for gas and service
customers.

To accommodate these improvements, approval of the following is necessary:

Motor fuel stations are listed as conditional uses in B-2 zoning districts. In this regard,
approval of the requested variances would technically constitute an amended or new
conditional use permit applied to the property.
AnalVsis:
Existing Conditions. As noted, the applicant is requesting setback variances for a new
overhead pump canopy and expanded parking area. The minimum setback
requirement for each is 20 feet. A canopy setback of 15 feet has been proposed while a
parking setback (from the north lot line) of 5 feet is planned.
The site's existing fuel pump canopy currently has a setback of 15 feet from the Dodd
Road right-of-way while the existing parking area is setback at 5 feet from the north
property line. In this regard, the present setbacks are considered legally non-
conforming. Both the proposed canopy and parking area setbacks match existing
setback conditions, but expand the area covered by each use. Thus, the applicant does
not which wish to increase the existing degree of setback non-conformity.
Applicant Narrative. As part of application, the applicant has completed a questionnaire
related to the requested variances. In this regard, the applicant has suggested that the
variances should be approved for the following reasons:
Canopy Setback Variance:
1. The existing canopy does not adequately protect station customers.
2. The expanded canopy will provide greater customer protection from sun and
inclement weather.
3. The expanded canopy will include/provide improved lighting.
Parking Setback Variance:
1. The existing parking lot does not provide adequate space for customer
maneuvering.
2. The expanded parking area will provide improved maneuvering space for station
customers.

Evaluation Criteria. Variances are reviewed @ato their ability to show unique property
attributes that differentiate the property from similarly situated parcels in a way that
suggests a departure from the standards would be a reasonable use of the property.
When considering variances, the City io required to find that:
1. The applicant iO proposing to use the property ina reasonable manner; and
2. The applicant's proposal faces practical difficulties in using the property in this
manner due to circumstances that:

Considering that the site is bordered by commercial uses on the north, south and

The existing motor fuel station was established prior City's minimum one acre lot size

Planning Staff is supportive of the variance requests as the applicant is proposing to
use the property in a reasonable manner which is consistent with the spirit and intent of
the Zoning Ordinance (the proposal will not negatively impact adjacent properties). At a
result, Staff recommends the following.
A. Approval of the canopy setback variance subject to the following conditions:
Approval of the setback variance is documented as part of an amended or
new conditional use permit applied to the subject property.
2. The new canopy shall not exceed 20 feet in height.

4. New canopy lighting shall concentrate light upon the premises so as to

up to date. Our current canopy does not fully cover the dispensers or the customers

The new canopy will be approximately 5 feet wider on both the north & south sides. We
are asking for 'a variance, however, the new canopy will not be any closer to the closest

The new canopy will be approximately 5 feet wider on both the north & south sides. We
are asking for 'a variance, however, the new canopy will not be any closer to the closest
property line (West) than the existing canopy.
We are also asking for a variance for an expansion of the north side of our parking lot by
approximately 5 feet. The current parking lot is very difficult to maneuver within. During
the winter months snow banks make it even more difficult. The new parking lot
expansion would not be adjacent to any existing structures.

BACKGROUND
The City of Mendota Heights has been invited to participate in a small business assistance initiative
which is being coordinated by the Dakota County Community Development Agency (CDA). Most
communities with the county and the CDA entered into a joint powers agreement to bring the Open to
Business Program, offered by the Metropolitan Consortium of Community Developers (MCCD) to
Dakota County.
Open to Business offers business assistance, in the form of technical assistance and access to capital for
small business owners within the community. The program in Dakota County kicked off in January
2013, and has been well received by communities, local banks, and most importantly by local businesses.
Under the joint powers agreement, MCCD provides a part time staff located at CDA offices in Eagan.
This staff takes inquiries and meets with small business owners. In a recent report to county
planning /economic development staff, MCCD reported processing 207 requests for information in the
first quarter of 2013. This resulted in the development of business feasibility studies, business plan
development, cash flow analysis, marketing, regulatory compliance and developing business case for
loans and /or micro - grants.
The attached joint powers agreement between the city and CDA would include the city within the scope
of services MCCD provides to Dakota County.
BUDGETIMPACT
CDA covers 50% of the cost of offering this program. The cost to the city to participate in the program
from July 1 to December 31, 2013 is $1,875. The 2013 budget for Business Development includes $500
for miscellaneous expenses and $500 for economic development which could be applied to this expense.
The remaining $875 could come from the Business Development fund balance, which is where conduit
debt fees are collected. The fund balance for this fund at the end of 2012 was $28,580 and it has received
$5000 in fees this year.
RECOMMENDATION
If city council wishes to participate in the program, pass a motion authori zing the staff to execute the joint
powers agreement with Dakota County. This action requires a simple majority vote.

JOINT POWERS AGREEMENT
Open to Business Program
THIS JOINT POWERS AGREEMENT (this "Agreement "), is made as of June , 2013,
by and between the DAKOTA COUNTY COMMUNITY DEVELOPMENT AGENCY (the
"CDA "), a public body corporate and politic organized and existing under the laws of the State of
Minnesota (the "State "), and the CITY OF MENDOTA HEIGHTS, MINNESOTA ( "City "), a
political subdivision of the State.
RECITALS:
A. In order to pursue common goals of fostering economic development, the CDA and
the City desire to engage the Metropolitan Consortium of Community Developers, a Minnesota
non - profit corporation ( "MCCD ") to undertake the "Open To Business Program" (the
"Program ") within Dakota County (the "County ").
B. Pursuant to the Program, MCCD will provide technical assistance and access to
capital to small business and potential entrepreneurs in the County.
C. The CDA and the City propose to jointly exercise their common economic
development powers to undertake the Program.
NOW, THEREFORE, in consideration of the mutual covenants and obligations of the
CDA and the City, each parry does hereby represent, covenant and agree with the others as
follows:
Section 1. Representations. The City and the CDA make the following
representations as to itself as the basis for the undertaking on its part herein contained:
(a) It is a political subdivision of the State of Minnesota with the power to enter
into this Agreement and carry out its obligations hereunder.
(b) Neither the execution and delivery of this Agreement, the consummation of
the transactions contemplated hereby, nor the fulfillment of or compliance with the terms
and conditions of this Agreement is prevented, limited by or conflicts with or results in a
breach of, the terms, conditions or provisions of any restriction or any evidences of
indebtedness, agreement or instrument of whatever nature to which it is now a parry or by
which it is bound, or constitutes an event of default under any of the foregoing.

Section 2. Powers to be Exercised. The powers to be jointly exercised pursuant to
this Agreement are the powers of the CDA and the City under Minnesota Statutes, Chapter 469, to
undertake activities to promote economic development within their respective jurisdictions.
Section 3. Method for Exercising Common Powers; Funds. The CDA, on its own
behalf and on behalf of the City, entered into an agreement with MCCD attached hereto as Exhibit
A (the "Agreement ") to engage MCCD to operate the Program within Dakota County. The CDA
and each of the Local Government Entities will make payments to MCCD as described in Exhibit
A of the Agreement. The City's participation in the Program will be included under the category
of "Small Cities and Townships" in Exhibit A. The City agrees to contribute $1,875 toward the
cost of the Program in exchange for receiving Program services during the second half of 2013.
The CDA may from time to time execute and deliver documents amending, modifying or
extending the Agreement as it deems necessary or convenient, provided, that no such document
will adversely affect services provided to, or amounts payable by, any Local Government Entity
without the prior written consent of such Local Government Entity.
Section 4. Limited Liability. Neither the CDA nor the City shall be liable for the
acts or omissions of the other in connection with the activities to be undertaken pursuant to this
Agreement. To the extent permitted by law, (a) the CDA hereby indemnifies the City for costs
associated with claims made against the City directly relating to actions taken by the CDA, and
(b) the City hereby indemnifies the CDA for costs associated with claims made against the CDA
directly relating to actions taken by the City. Nothing herein shall be deemed a waiver by the
indemnifying parry of the limits on liability set forth in Minnesota Statutes, Chapter 466; and the
indemnifying parry shall not be required to pay, on behalf of the indemnified party, any amounts
in excess of the limits on liability set forth in Minnesota Statutes, Section 466.04, less any
amounts the indemnifying party is required to pay on behalf of itself, its officers, agents and
employees for claims arising out of the same occurrence.
Section 5. Conflict of Interests; Representatives Not Individually Liable. The CDA
and the City, to the best of its knowledge, represents and agrees that no member, official or
employee of their respective bodies shall have any personal interest, direct or indirect, in this
Agreement, nor shall any such member, official or employee participate in any decision relating to
this Agreement which affects his or her personal interests or the interests of any corporation,
partnership, or association in which he or she is directly or indirectly interested. No member,
official or employee of the CDA or the City shall be personally liable with respect to any default or
breach by any of them or for any amount which may become due to the other party or successor or
on any obligations under the terms of this Agreement.
Section 6. Term; Distribution of Property. The term of this Agreement shall expire
on December 31, 2013. There is no property which will be acquired by the CDA or the City
pursuant to the Program which would need to be distributed at the end of the term hereof.
Section 7. Notices and Demands. A notice, demand or other communication under
this Agreement by any party to another shall be sufficiently given or delivered if it is dispatched by
registered or certified mail, postage prepaid, return receipt requested or delivered personally to the
person and at the addresses identified on each signature page hereto, or at such other address with

respect to either such parry as that parry may, from time to time, designate in writing and forward
to the other as provided in this Section.
Section 8. Counterparts. This Agreement may be executed in any number of
counterparts, each of which shall constitute one and the same instrument.

THIS AGREEMENT is dated January 2, 2013 and is between the Dakota County Community
Development Agency ( "CDA ") and Metropolitan Consortium of Community Developers, a
Minnesota nonprofit corporation ( "MCCD ").
WHEREAS, the CDA, on behalf of itself and the ten political subdivisions of the State of
Minnesota listed on Exhibit A hereto (the "Local Government Entities"), which each have
powers with respect to a city with a population over 10,000 (collectively the "Municipalities "),
wishes to engage MCCD to render services under a model known as "Open to Business," an
initiative providing small business technical assistance services to existing businesses and
residents and other parties interested in opening a business within Dakota County (the
"County ") (the "Initiative "); and
WHEREAS, MCCD has represented itself as competent to provide the services required to
administer and carry out the Initiative and has previous experience working with the Initiative;
and
WHEREAS, pursuant to CDA Resolution No. 12 -5128, adopted on September 18, 2012 (the
"Resolution "), the CDA is authorized to enter into this agreement with MCCD for the Initiative;
and
WHEREAS, pursuant to the Resolution and certain joint powers agreements to be entered into
between the CDA and the Local Government Entities (the "Joint Powers Agreements "), the
CDA will act as fiscal agent for the Local Government Entities in connection with this
Agreement; and
WHEREAS, the CDA will pay from its own funds 50% of the fee charged by MCCD for the
Initiative in the Municipalities and 100% of the fee charged by MCCD for the Initiative in the
small cities and townships within the County with populations of less than 10,000 people
( "Small Cities and Townships "), as further described herein and in Exhibit A; and
WHEREAS, pursuant to the Joint Powers Agreements, the Local Government Entities will be
required to pay a Participation Fee to the CDA in accordance with the schedule in Exhibit A,
representing the remaining 50% of the fee charged by MCCD for the Initiative in the
Municipalities.
Now therefore, for good and valuable consideration, the receipt of which is hereby
acknowledged, the parties agree as follows:

TIME OF PERFORMANCE
The term of this Agreement and the period during which MCCD will provide services
hereunder will commence upon execution and delivery of this Agreement and will end on
December 31, 2013, subject to earlier termination as provided herein. MCCD will
perform services necessary to carry out the Initiative as promptly as possible, and with
the fullest due diligence.
COMPENSATION
Subject to reduction as provided below, the CDA will compensate MCCD for its services
hereunder an amount equal to One Hundred Thirty Thousand Dollars ($130,000)
( "Contract Amount "). The CDA will pay such amount in two equal installments, the
first no earlier than January 30, 2013 and the second no earlier than June 30, 2013, upon
receipt of invoices from MCCD. Subject to the limits above, payments will be due
within 15 days of receipt of the respective invoices. The portion of the Contract Amount
payable from Participation Fees will be payable by the CDA only from and to the extent
such Participation Fees are paid by the respective Local Government Entities.
In the event a Local Government Entity does not pay to the CDA its Participation Fee in
amounts and by the deadline described in Exhibit A, the CDA will notify MCCD, and
MCCD will immediately cease the Initiative in that Municipality. Upon such
termination, the Contract Amount will be reduced by an amount equal to the Participation
Fee which such Local Government Entity did not pay and the amount the CDA would
have paid as a matching payment.
SCOPE OF SERVICES
MCCD will provide technical assistance to existing businesses, residents and those
parties interested in starting a business in any of the Municipalities and Small Cities and
Townships as further described on Exhibit B and Exhibit C attached hereto, which sets
forth the Dakota Open to Business Program Scope of Services.
REPORTING
MCCD will submit quarterly reports to the CDA in form and substance acceptable to the
CDA. Reports will provide information in the aggregate for the County and will include
a subreport for each Municipality and each of the Small Cities and Townships. Reports
will include the following information:

PERSONNEL
MCCD represents that it has, or will employ or contract for, at its own expense, all
personnel required to perform the services necessary to carry out the Initiative. Such
personnel will not be employees of, or have any contractual relationship with, the
County, the CDA or any of the Local Government Entities. No tenure or any other rights
or benefits, including worker's compensation, unemployment insurance, medical care,
sick leave, vacation pay, severance pay, or any other benefits available to the County's,
the CDA's or any of the Local Government Entities' employees shall accrue to MCCD or
employees of MCCD performing services under this agreement. The MCCD is an
independent contractor.
All of the services required to carry out the Initiative will be performed by MCCD and all
personnel engaged in the work shall be fully qualified and shall be authorized or
permitted under State and local law to perform such work.
USE OF CDA OFFICE SPACE
The CDA will make available a cubicle space for MCCD personnel at the CDA office
building for use by MCCD in carrying out the Initiative. MCCD personnel will have
access to the CDA's meeting rooms, wireless internet service, copy machines and
printers. MCCD personnel shall comply with all CDA office rules and policies regarding
the use of CDA office space, equipment and internet access. If the CDA, in its sole
discretion, determines that MCCD Personnel have failed to comply with CDA office

rules and policies, MCCD Personnel will be required to vacate the CDA office and the
CDA will cease to provide MCCD office space to carry out the Initiative.
INTEREST OF MEMBERS OF THE CDA AND OTHERS
No officer, member, or employee of the CDA and no member of its governing body, and
no other public official or governing body of any locality in which the Initiative is
situated or being carried out, who exercises any functions or responsibilities in the review
or approval of the undertaking or carrying out of the Initiative, will participate in the
decision relating to this Agreement which affects his/her personal interest or the interest
of any corporation, partnership, or association in which he /she is, directly or indirectly,
interested or has any personal or pecuniary interest, direct or indirect, in this Agreement.
ASSIGNABILTY
MCCD will not assign any interest in this Agreement, and will not transfer any interest in
the same without the prior written approval of the CDA.
COMPLIANCE WITH LOCAL LAWS
MCCD agrees to comply with all federal laws, statutes and applicable regulations of the
State of Minnesota and the ordinances of the Local Government Entities.
INSURANCE
MCCD agrees at all times during the term of this Agreement, and beyond such term when
so required, to have and keep in force the following insurance coverages:

and employees from any liability, claims, causes of action, judgments, damages, losses,
costs, or expenses, including reasonable attorney's fees, resulting directly or indirectly
from any act or omission of MCCD, its subcontractors, anyone directly or indirectly
employed by MCCD or any of its subcontractors, and/or anyone for whose acts and/or
omissions MCCD may be liable in the performance of the services required by this
Agreement, and against all loss by reason of the failure of MCCD to perform any
obligation under this Agreement.

Failure of the MCCD to perform any of its obligations under this Agreement to the

Unless MCCD's default is cured within 15 days following notice by the CDA, the CDA
may (i) cancel this Agreement in its entirety by 5 additional days' written notice to
MCCD, or (ii) withhold payment from MCCD as long as such default continues.
MINNESOTA LAWS GOVERN
The Laws of the State of Minnesota shall govern all questions and interpretations
concerning the validity and construction of this Agreement and the legal relations
between the parties and their performance. The appropriate venue and jurisdiction for
any litigation will be those courts located within the County. Litigation, however, in the
federal courts involving the parties will be in the appropriate federal court within the
State of Minnesota. if any provision of this Agreement is held invalid, illegal or
unenforceable, the remaining provisions will not be affected.

Dakota Open to Business Program Scope of Services
Open to Business ( "OTB ") Technical Assistance Services
MCCD will provide intensive one -on -one technical assistance to Municipalities' and Small
Cities' and Townships' businesses, residents and aspiring entrepreneurs intending to establish,
purchase, or improve a business in Municipalities and Small Cities and Townships within
Dakota County (the "County "). MCCD will dedicate one full time staff person based in the
County to provide the Technical Assistance Services ( "Dakota OTB Staff'). In addition, MCCD
will make available the expertise of all MCCD technical and support staff in the delivery of
services to Dakota Open to Business Program. Technical assistance includes, but is not limited
to, the following:
➢ Business plan development
➢ Feasibility analysis
➢ Marketing
➢ Cash flow and other financial projection development
➢ Operational analysis
➢ City and State licensing and regulatory assistance
➢ Loan packaging, and other assistance in obtaining financing
➢ Help in obtaining competent legal advice
MCCD Dakota OTB Staff will be available to meet clients at the CDA office building, various
Municipality city halls or at the client's place of business. MCCD Dakota OTB Staff will
provide technical assistance on a walk -in basis monthly in each Municipality, if requested.
MCCD will also hold two -hour "Test Drive Your Business Idea" sessions once a month in
various Municipality locations.
Open to Business Access to Capital
Access to capital will be provided to qualifying businesses through MCCD's Emerging Small
Business Loan Program (see Exhibit C Small Business Loan Program Guidelines below).
MCCD also provides its financing in partnership with other community lenders, banks or Local
Government Entities interested in making capital available to residents and /or businesses in their
community.

business and entrepreneur needs in Dakota County, the
CDA Board of Commissioners approved participation in
the Open To Business program through the Metropolitan
Consortium of Community Developers (MCCD).

resource for small businesses and those interested in
starting a new business in Dakota County. Through the
CD-Ns partnership with the MCCD, Open To Business

entrepreneurs and small businesses.
Open To Business Dakota County is a partnership among
the CDA, MCCD, and the cities of Apple Valley, Burnsville,
Eagan, Farmington, Hastings, Inver Grove Heights,
Lakeville, Rosemount, South St. Paul, and West St. Paul.
In addition, the Apple Valley, Burnsville, Lakeville,
River Heights, Hastings, and Dakota County Regional
Chambers of Commerce are also partners in the initiative.
Laurie Crow, Business Advisor with the MCCD and an
expert on Open To Business, began offering free consulting
services in each participating community. The public
response to this program has been overwhelmingly positive.
According to Crow, the program's popularity has been
wonderful. "The cities have shown so much support,"
said Crow. "I have met with prospective and current business
owners in all ten cities. The program has spread like wildfire
through the County, which is great."
At the end of February, the CDA — in partnership with
the MCCD, the Dakota County Regional Chamber of
Commerce, US Bank and Frontier Communications —
hosted the launch of Open To Business Dakota County.
The kick -off was a chance for small business owners,
residents and any interested parties to hear more about
the program and ask questions.

Burnsville City Councilmember Dan Kealey and Dakota
County Commissioner Thomas Egan welcomed those in
attendance, which was followed by an overview of Open
To Business from Laurie Crow. Crow spoke about the early
successes she has seen since the inauguration of the program
in January 2013. Rob Smoland and Lee Hall, both of
MCCD, concluded the presentation by showing multiple
examples of ways that Open To Business has helped local
business owners throughout the county and state.
With the official launch of Open To Business Dakota
County complete and the overwhelming early success of the
program, the CDA is looking forward to what the future of
the program will bring to Dakota County's community and
economic business development.
"We definitely hit the ground running with the full county,"
said Crow. "We are very, very excited about it."
