Res 2001 - 67 Designating RMF as the Developer for the Mendota Heights Town Center Development/ CITY OF MENDOTA HEIGHTS Dakota County, Minnesota RESOLUTION NO. 01-67 RESOLUTION DESIGNATING RMF AS THE DEVELOPER FOR THE MENDOTA HEIGHTS TOWN CENTER DEVELOPMENT WHEREAS, the City is proceeding with the development of a mixed use development (the "Development"), know as the Mendota Heights Town Center, Municipal Development District No. 1, located at Highway 110 and Dodd Road (the "Development District"); WHEREAS, RMF Entities, LTD., a Minnesota Corporation, having its principal offices at 7625 Metro Boulevard, Suite 145, Edina, MN 55439 (herein after "RMF") has special expertise in developments of the type proposed for the Development District; WHEREAS, RMF has proposed that the city designate RMF as the developer to undertake the Development, with the exception of the senior housing to be developed by the Dakota County Community Development Agency (the "CDA"), and enter into a period of exclusive negotiation with RMF regarding a Redevelopment Contract to undertake the Development; and WHEREAS, the City believes that it is in the best interest of the City to contract with a single developer to undertake the Development on a coordinated basis; NOW THEREFORE BE IT RESOLVED: 1. The City will undertake to negotiate an Exclusive Developer Designation Agreement (the "Agreement") with RMF designating RMF for an exclusive negotiation period through June 1, 2002, for purposes of entering into a definitive Redevelopment Agreement to undertake the Development. 2. The Agreement shall require RMF to: (a) commit to undertake the Development in substantial conformity with the Development District Plan and the City adopted Development guidelines and plan; (b) to provide the City with a proposed phasing plan not later than February 1, 2002 for all phases of the Development; and (c) to provide the City with a proposed development pro forma for all phases and the project as a whole not later than February 1, 2002, including financial information provided by the City for public improvements and the CDA for the senior facility. 3. The City Council will review the progress of the negotiations and consider a proposed Agreement for approval at the first meeting in November.
