Held Tuesday, January 20, 2015
Pursuant to due call and notice thereof, the regular meeting of the City Council, City of Mendota
Heights, Minnesota was held at 7:00 p.m. at City Hall, 1101 Victoria Curve, Mendota Heights,
Minnesota.
CALL TO ORDER
Acting Mayor Petschel called the meeting to order at 7:00 p.m. The following members were present:
Councilmembers Povolny, Petschel, and Norton. Mayor Krebsbach and Councilmember Duggan were
absent.
PLEDGE OF ALLEGIANCE
Council, the audience, and staff recited the Pledge of Allegiance.
AGENDA ADOPTION
Acting Mayor Petschel presented the agenda for adoption and recommended that item 5f be pulled from
the agenda. Councilmember Povolny moved adoption of the revised agenda.

PUBLIC COMMENTS
Allan Rust and Michelle Rust, 1689 Lilac Lane, requested that the Council review the signage at the
intersection of Lilac Lane and Douglas Road. Currently there are yield signs at this intersection which
are not working. There are near -miss situations all of the time. The cross streets are a -symmetrical and
there is a large tree that blocks the drivers' view. The intersection is at the bottom of a hill, causing
drivers to speed up when approaching. They requested the yield signs be replaced with stop signs.
Mr. Rust also noted that, traveling south on Lilac Lane, there is a caution sign informing drivers of an
upcoming 15 mph zone. However, there is not a similar sign for drivers traveling north on Lilac. He
requested that this sign be installed.
Public Works Director John Mazzitello noted that this intersection can be discussed at the next Traffic
Safety Committee meeting scheduled for March 2015. The Committee will contact Mr. Rust with any
questions or comments.

NEW AND UNFINISHED BUSINESS
COMMUNITY ANNOUNCEMENTS
Interim City Administrator Tamara Schutta made the following announcements:
• Planner Nolan Wall and Public Works Director John Mazzitello are hosting an Open House for
the Lemay Shores Development this Thursday, January 22 at City Hall.
• The River -to -River Greenway Master Plan Open House is scheduled for February 4 at
Thompson County Park Dakota Lounge in West St. Paul.
COUNCIL COMMENTS
Acting Mayor Petschel expressed her appreciation to St. Thomas Academy for grooming the ski trails at
the Par 3. Town Square Television did a wonderful video showing the new trails, which is available On
Demand at Town Square Television.
Acting Mayor Petschel also noted the passing of Arlean Mertensotto, the wife of former Mayor Charles
E. Mertensotto.

PARKS AND RECREATION MEETING
January 13, 2015
The January meeting of the Mendota Heights Parks and Recreation Commission was held on
Tuesday, January 13, 2015 at Mendota Heights City Hall, 1101 Victoria Curve.
Chair Hinderscheid called to order the parks and recreation commission meeting at 6:30 p.m. The
following commissioners were present: Chair Hinderscheid, Commissioners: Ira Kip, Stephanie
Levine and Joel Paper. Staff present: Recreation Program Coordinator Sloan Wallgren.

COMMISSIONER LEVINE MADE A MOTION TO APPROVE THE MINUTES;
COMMISSIONER PAPER SECONDED THE MOTION.
2015 Student Representative
Mr. Wallgren updated the commission on the status of the student representative for the upcoming
year. There were two individuals that applied for the position. The mayor and city council will be
interviewing both candidates on February 3, 2015. It is our intention that the student would be
present at the February 10, 2015 meeting.
Minnesota DNR Archery Grant
Mr. Wallgren informed the commission that the deadline to apply for the DNR Archery Grant funds
is August 31, 2015. If the commission still wishes to get feedback from residents on whether or not
there is interest in building an archery range, we should solicit feedback in the next issue of the
Heights Highlights. If we advertised that we are looking for residents input in the February issue of
the Heights Highlights we could invite residents to the April 14, 2015 meeting to discuss the topic.
Mr. Wallgren also said that if residents could not attend the April meeting, that they could call him
or email him and he would forward those comments along to the commission.
The commission discussed their interest in an archery range and came to the conclusion that they
would still like to invite residents to the April meeting to determine if there is an interest.
COMMISSIONER PAPER MADE A MOTION TO SOLICITE RESIDENT INPUT ABOUT
BUILDING AN ARCHERY RANGE INTOWN IN THE NEXT ISSUE OF THE HEIGHTS

Cross Country Ski Trail
Mr. Wallgren informed the commission that a cross country ski trail has been groomed out at the
Par 3. There is a 1 and 2 mile loop for both classical and free styles skiing. Staff will continue to
groom the trail every 7-10 days depending on weather conditions.
The clubhouse at the Par 3 will remain open on weekends from 10:00-3:00 for people to use the
restrooms, change boots, or purchase a snack or beverage.
Staff is excited about using the Par 3 for additional winter recreation opportunities. Mr. Wallgren
presented examples of fat tire bikes and snowshoes that could be rented out and used at the Par 3.

Kensington Park Activity
Mr. Wallgren informed the commission that he received several emails regarding the amount of
traffic and parked cars near Kensington Park due to the large number of people using the park for
soccer. The park is used in the spring and summer buy adult groups all day Sunday, and by the
Mendota Heights Athletic Association Monday -Saturday during the fall.
The emails indicated concern over speeding, overflow parking on streets and the ability for
emergency vehicles to maneuver the streets.
The commission discussed several solutions such as: adding additional parking, limiting the times
to the groups, limiting parking on the streets and finding additional fields for the teams.
The commission understand the concerns from the neighbors in the Kensington Park area will
continue to discuss the situation in the future.
Recreation Programming Report
Staff offered three field trips over winter break. We had over 120 participants for the three trips.
Staff has organized two more trips over spring break. On March 30, 2015 we will be going
bowling and swimming in South St. Paul and on March 31, 2015 we will be going to Skyzone and
the Cinema Cafe.
Mr. Wallgren updated the commission on the new programs that he was working on such as: Teen
Tuesday Field trips, Senior Programming, Theater Camp, Science Camp and a variety of sports
camps.
The commissioners were excited to hear that staff is working with the school district to utilize
facilities in the city.
Commission Paper was glad that we working to offer programming for older adults in our
community.

Par 3 Report
The golf course is working to bring new user groups out to the course. Staff is working to continue
to increasing the number of leagues and lesson programs that are offered. The course is planning
on hosting a Spring Golf Swap on May 9tn
Staff noticed some damaged to the golf course caused by moles. Staff will fix the damaged areas in
the spring.
Total sales for the month of December were $1,336 are expenses were $7,461. Total sales for the
year were $138,322 and expenses were $133,139 resulting in a net revenue of $5,183. Mr.
Wallgren informed the commission that the Par 3 Fund now had a balance for roughly $33,000.00,
and reminded the commission that the goal has always been for the fund to have a balance of
$40,000.00.
Announcements
Mr. Wallgren informed everyone that we are recycling Christmas tights at city hall.
Mr. Wallgren also noted that we are still taking applications for a student representative to serve on
the parks and recreation commission, applications are being accepted until December 29, 2014.
Mr. Wallgren updated the commission that the name of the North Urban Regional Trail (NURT)
has been renamed the River to River Greenway.
Commission Comments
Commissioner Levine thanked staff for their work and looked forward to seeing some of the new
programs implemented.
Commissioner Paper thanked staff for their work and is happy to hear that we are working to offer
some senior programming
Commissioner Kipp though it was a very informative meeting.
Chair Hinderscheid thanked staff for their work and looked forward to our next meeting.

AIRPORT RELATIONS COMMISSION MINUTES
January 14, 2015
The regular meeting of the Mendota Heights Airport Relations Commission was held on Wednesday, January
14, 2015 at 7:00 p.m. at Mendota Heights City Hall.
The following commissioners were present: David Sloan, Gina Norling, Jim Neuharth, Sally Lorberbaum, and
Kevin Byrnes

Also present: Interim City Administrator Tamara Schutta and Public Works Director/City Engineer John R.
Mazzitello
Chair Sloan called the meeting to order at 7:00 pm.
Approval of Minutes
Lorberbaum moved, and Neuharth seconded that the minutes of the October 8, 2014 Airport Relations
Commission meetings be approved with the following amendments:
1. Mention of Lorberbaum distributing complaint tracking charts was deleted since Lorberbaum was not
present at the November meeting
2. Mention of invitations for future meeting guest speakers was deleted since it was a holdover comment
from the October meeting.
All voted in favor. Lorberbaum abstained as she was not present at the November meeting.
Unfinished and New Business
The 2015 Commission Annual Work Plan was reviewed and approved with minor amendments. Lorberbaum
moved and Norling seconded. All voted in favor.
Reports on Areas of Focus
Sloan stated he did not have a NOC report. He would have on for the next meeting
Neuharth noted that all measurements were within the normal range and below the upper control limits, and that
Norling noted that the 80dB events at sensors 13 and 23 were above average.
Lorberbaum stated she would be brining complaint statistics to the February meeting.
Byrnes recapped the articles that were sent to Commissioners earlier in the week.
Mazzitello provided a tutorial on building height restriction within proximity of the airport and how they apply
to Mendota Heights.
Commissioner Comments
Sloan asked about Lemay Lake shores development noise attenuation requirements for construction.
Lorberbaum asked about the status of Airport Relations Commissioner applications.
Norling asked that an agenda item be added to the February agenda to discuss the spike in number of noise
events form the 12L departures, and suggested discussing formal correspondence with MAC/NOC.

Lorberbaum made a motion to adjourn and Norling seconded at 7:51. All voted in favor.

In the course of recording the Final Plat for the Lemay Lake Shores Development, Ryland
Homes (the developer) discovered two unused easements that need to be vacated in order for
them to process their Final Plat. The City of Mendota Heights has not utilized these easements
since their establishment, and City staff has determined there is no need on the part of the City to
retain these easements.
Easement Document Numbers 414235 and 414236, as recorded with Dakota County describes
the roadway, drainage, and utility easement that run across Lots 39, 40, and 42, AUDITOR'S
SUBDIVISION #34, MENDOTA. The easements proposed for vacation are depicted as part of
the attached descriptions and drawing and are described as follows:

Easement and Right -of -Way vacation procedure require that the City hold a public hearing on
the vacation of any easements. Due to required public notice timelines, and the requirement for
the City to advertise the public hearing in the local paper, the public hearing is recommended to
be held at the regularly scheduled March 3, 2015 City Council meeting.
BUDGET IMPACT
Staff time and the cost of mailing the Public Hearing notices are the only budgetary impacts
associated with this action. These activities and expenses are billable to the developer as part of
the Developers Agreement.
RECOMMENDATOIN
Staff recommends Council adopt the attached Resolution 2015-10, A RESOLUTION
CALLING FOR A PUBLIC HEARING ON AN EASEMENT VACATION AT LOTS 39, 40, AND
42, AUDITOR'S SUBDIVISION, MENDOTA. If Council agrees with the staff's
recommendation, pass a motion adopting the attached Resolution. To call for a Public Hearing,
adoption of this Resolution requires a 4/5 majority vote.

SUBJECT: Volunteer Fire Reserve Group
BACKGROUND
Over the past several years the department has lost some talented and committed firefighters due to
retirement. Many of these firefighters were still willing to participate and help the community but for one
reason or another could not commit the time or meet the physical demands to continue as an active
firefighter. In addition, we have had some people who have wanted to help the department in some why
but could not meet the criteria for being an "active" firefighter.
At the same time demands on our firefighters are not letting up. As a department we strive to have a team
of well-trained firefighters as well as have a heavy focus on public education. Our goal is to prevent fires
before they happen. We also have situations where our active firefighters are fully engaged and
additional resources are needed. Situations like a house fire or storm damage. These are times when
knowledgeable trained people are needed in support roles.
As I reflected on both of these issues it occurred to me that we have an opportunity to create a win-win
situation. Similar to the police reserves we could create a fire reserve group that would train under the
auspices of the fire depai tinent for support roles. By establishing a formal reserve group members of this
group would be afforded training and insurance that protects them and the city in case there were to be an
injury or accident.
I have talked with several retired firefighters and they would love to continue to help and participate.
Examples of where they would be most useful would be in fire prevention education at the schools,
station tours, public education programs at local businesses, fire prevention activities at events, ability to
bring fire equipment or service vehicle to the scene, support roles during emergencies, etc.
People who are interested in being part of the team would have to apply for an appointment and be
accepted. They would also be required to maintain some training and participate in events when asked in
order to remain in the group. All participants would be required to have passed a thorough background
check in order to be appointed as a member of the group.
Administration and appointment to the group would be by the Fire Chief and all members would serve
strictly as volunteers.

BUDGET IMPACT
Budget impact would be minimal. The reserve members would be expected to have, and maintain, first
responder training and CPR training. The depaitiuent would fund the training/refresher costs but there
would be no compensation provided to the member. There would also be some incidental costs for
personal Identification, background checks, etc. I believe that the city currently carries an insurance rider
that covers "city volunteers" when formally appointed.
RECOMENDATION
It would be my recommendation that the department be allowed to start a formal volunteer "Fire Reserve
Group" to help support the many functions of the department and allow retired firefighters and members
of the community to continue to actively participate in helping our community

Introduction
In June of 2014, the City of Mendota Heights was impacted significantly by severe weather
along with the rest of Dakota County. Unfortunately, the disaster did not qualify for federal
assistance from the Federal Emergency Management Agency (FEMA) as the city and county did
not meet the minimum public loss requirements for a government agency.
In 2014, the State of Minnesota Homeland Security and Emergency Management (HSEM) began
financially assisting local government agencies to aid in disaster recovery. The City of Mendota
Heights has been actively work with the State to receive reimbursement for work completed. On
January 13, 2015 we signed off on the work completed immediately after the storm and are in the
process of being reimbursed by MN HSEM for 75% of the costs incurred. The projects signed
off on included Dodd & Marie, Willow Lane, Valley Park, Bluff Circle, John Street and the
Public Works gas pumps. The total of those projects will change slightly as our insurance carrier
reimbursed the city $5,807.45 for repairs completed. This amount will be subtracted from the
HSEM program and the $1,000.00 deductible will be added to the total. We anticipate the
electronic fund transfers of approximately $50,000.00 to be occurring soon.
The Ivy Falls Creek project is outstanding at this time. Original estimates were $250,000.00 to
repair the damages. The current HSEM set aside is $93,750.00 based on a reduction in the
project scope conducted by HSEM staff. City staff is working on documentation that would
allow us to repair all storm damage incurred. If the documentation is a success, the city would
anticipate costs on the original $250,000.00 to be approximately $62,500.00 for city match
portion of the project.
Budget Implications
The City is responsible for 25% of all projects related to storm damage.

Agreement (JPA) Renewal
Introduction
The City of Mendota Heights Police Department (MHPD) has participated in the Dakota County Mutual
Aid Assistance Group (DC MAAG) since its inception. The first agreement was signed in 2003; this is
the first comprehensive review and update of the agreement since that time. Currently, MHPD has one
officer assigned to the DC MAAG team, Officer Chad Willson. Later in the year we will assign another
officer to the DC MAAG team bringing it to a total of two MHPD Officers.
The expertise we can access from this JPA joint team is critical to the safety and security of our city and
the county. In 2014, the team was fully activated fully thirteen times and had eight armored vehicle
deployments.
Background
The DC MAAG Oversight Board meets monthly to review the activities of the team. In 2010, the JPA
received an abundance of updates before approval by all cities and the county. For the 2015 renewal,
there were some minor changes presented by the Dakota County Attorney and the League of Minnesota
Cities Risk Analysis Attorney. The JPA has been reviewed by City Attorney Thomas Lehmann and no
areas of concern were noted.

Dakota County Multi -Agency Assistance Group
2015 Joint Powers Agreement
The parties to this Agreement are units of government responsible for critical incident response
in their respective jurisdictions. This Agreement is made pursuant to the authority conferred upon the
parties by Minn. Stat § 471.59. This Agreement amends and supersedes the DAKOTA COUNTY
MUTUAL AID ASSISTANCE GROUP 2010 JOINT POWERS AGREEMENT, and shall become
effective only upon the approval and execution hereof by duly authorized officers of all of the parties.
NOW, THEREFORE, the undersigned governmental units, in the joint and mutual exercise of
their powers, agree as follows:
1. Name. The parties hereby establish the Dakota County Multi Agency Assistance Group
(MAAG).
2. General Purpose. The purpose of this Joint Powers Agreement is to establish an organization to
coordinate efforts to develop and provide joint response to critical incidents or high risk entries
where there is a risk of criminal violence, occurring within and outside of the parties'
jurisdictions.
3. Parties. The parties to this Agreement shall consist of the following units of government:

4. Governance.
4.1 Governing Board. The governing board of the MAAG shall consist of the following:
One member and one alternate member appointed by the chief law enforcement officer of
each party to this Agreement.
Appointees shall be full-time supervisory peace officers of the appointing party.
Resolutions or other documentation of the appointments shall be filed with the chair of the
governing board.
Members of the governing board shall not be deemed to be employees and shall not be
compensated by the governing board.
4.2. Terms. Appointees shall serve at the pleasure of the appointing party and may be removed
only by the appointing party.
4.3. Officers. During the first quarter of each year the governing board shall elect from its
members a chair, vice chair and secretary/treasurer. The chair shall preside at all meetings
of the governing board and shall perform other duties as determined by the governing
board, including the authority to sign contracts authorized by the governing board. The
vice chair shall preside during the absence of the chair. The secretary/treasurer shall assist
the chair in overseeing the governing board's budget and finances.
4.4. Meetings. The governing board shall have regular quarterly meetings. Special meetings
may be held on reasonable notice by the chair or vice chair. The presence of a simple
majority of the members shall constitute a quorum. All meetings of the board shall be
subject to the Open Meeting Law.

4.5. Voting. Each party to this Agreement shall have one vote at any meeting of the governing
board. Proxy votes are not permitted. The governing board shall function by a majority
vote of board members or alternate members present, provided that a quorum is present.
5. Duties of the Governing Board.
5.1. The governing board will formulate a program to carry out its purpose.
5.2. The governing board will coordinate information between the parties and the MAAG.
5.3. The governing board has the exclusive authority to and shall appoint and supervise the
Team Commander and Assistant Team Commanders of the MAAG, including
appointments to fill vacancies. Appointments require the concurrence of the chief law
enforcement officer of the Team Commander's or Assistant Team Commander's employer.
5.4. The governing board may relieve the Team Commander or an Assistant Team Commander
of their duties at any time upon simple majority vote of the governing board.
5.5. The governing board shall review annually the policies and procedures of the MAAG
Team.
6. Powers of the Governing Board.
6.1. The governing board may enter into any contract necessary or proper for the exercise of its
powers or the fulfillment to its duties and enforce such contracts to the extent available in
equity or at law, except that the governing board shall not enter into any contract the term
of which exceeds one year.
6.2. The governing board may contract with any party to provide budgeting and accounting and
administrative services necessary or convenient for the governing board. Such services
may include but not be limited to: management of all funds, payment for contracted
services and other purchases, relevant bookkeeping and record keeping, records
management, training registrations, and purchase of equipment.
6.3. The governing board may disburse funds in a manner which is consistent with this
Agreement and with the method provided by law for the disbursement of funds by the party
under contract to provide budgeting and accounting services.
6.4. The governing board may apply for and accept gifts, grants or loans of money or other
property (excluding real property) or assistance from the United States government, the
State of Minnesota, or any person, association, or agency for any of its purposes; enter into
any agreement in connection therewith, and hold, use and dispose of such money or other
property and assistance in accordance with the terms of the gift, grant or loan relating
thereto.
6.5. The governing board must obtain and maintain liability insurance in amounts not less than
the statutory liability limits established under Minn. Stat. Ch. 466 and may obtain other
insurance it deems necessary to insure the parties, the governing board, its members and
employees of the parties for actions arising out of this Agreement, including, but not
limited to extended reporting period coverage upon termination. With respect to
employees of parties who have responded to a request for assistance pursuant to paragraph
9.5.1, they will be deemed to be taking actions arising out of this Agreement from the time

they receive a request for assistance pursuant to this Agreement and commence traveling to
the location where assistance is to be provided until the Team Commander or Assistant
Team Commander has made the decision pursuant to paragraph 9.5.1 to recall the team.
6.6. All powers granted herein shall be exercised by the governing board in a fiscally
responsible manner and in accordance with the requirements of law. The purchasing and
contracting requirements of the party providing budgeting and accounting services shall
apply to the governing board.
6.7. The governing board may cooperate with other federal, state and local law enforcement
agencies to accomplish the purpose for which it is organized.
6.8. The MAAG does not have the authority to seize property for purposes of Minn. Stat. §
609.531-.5318.
6.9. The governing board may retain legal counsel to advise the board and provide civil legal
services.
6.10. All cash monies received through forfeiture or restitution that are derived from MAAG
operations shall remain the property of MAAG and shall be used in furtherance of MAAG
efforts.
6.11. The governing board is not responsible for investigating the conduct of the Team
Commander, an Assistant Team Commander or any team member assigned to the MAAG.
The governing board will forward any complaints about any of the conduct of any such
individual to the individual's employing agency.
7. Budget and Finance.
7.1. Budget. By April 30 of each year the governing board shall prepare and adopt a budget for
the following calendar year and may amend the same from time to time.
7.2. Expenses. The parties intend to fund the MAAG through annual contribution paid by each
party. The governing board shall establish the contribution by April 30 of the year prior to
the year when the contribution is payable. The parties agree to pay the contribution as
determined by the governing board on or before January 31 of the year following the
determination, provided that the city council or county board has included funds for this
purpose in its adopted budget. If a party elects to withdraw from this Agreement, there will
be no reimbursement of any part of the contribution made for the year of withdrawal.
7.3. Accountability. All funds shall be accounted for according to generally accepted
accounting principles.
7.4. Invoices. The secretary/treasurer may authorize payment of invoices which are consistent
with the adopted budget and shall report to the governing board all such invoices at its next
regular meeting.
8. MAAG Team members.
8.1. The Team Commander and Assistant Team Commanders and team members shall be
licensed peace officers. The chief law enforcement officer of each party shall assign
licensed peace officers to serve as MAAG team members, subject to approval of the Team
Commander. Appointment as a Team Commander, Assistant Team Commander or team

member pursuant to this Agreement shall not obligate any party to pay its employees so
appointed any premium pay.
8.2. The Team Commander, Assistant Team Commanders and team members assigned to the
MAAG at all times will remain employees of their own jurisdictions and will not be
employees of the governing board.
9. Operations.
9.1. Team Structure. The Team Commander, with governing board approval, will organize a
leadership structure for MAAG that ensures efficient operation and deployment of
resources.
9.2. Budget. The Team Commander will prepare and present to the governing board annually a
requested operating and capital improvement budget for the following year.
9.3. Communication. The Team Commander will act as a liaison between the MAAG and the
governing board, providing quarterly updates on team status, deployment, and budget.
9.4. Training. The Team Commander shall be responsible for arranging monthly and annual
training events for team members, consistent with direction from the governing board. The
Team Commander shall also be responsible for maintaining records of the training received
by team leaders and members as well as records of all other activities undertaken by the
Team Commander, Assistant Team Commanders, and team members pursuant to this
Agreement.
9.5. Deployment.
9.5.1. Requests for Assistance. Whenever a party, in its sole discretion, determines that
conditions within its jurisdiction cannot be adequately addressed by that
jurisdiction's personnel and resources because of a critical incident or need for high
risk entry, the party may request, in accordance with policies and procedures of the
governing board, that the MAAG deploy a MAAG team to assist the party's
jurisdiction. Upon a request for assistance, a MAAG team may be dispatched to the
requesting party, in accordance with policies and procedures of the governing
board. A party may decline to make its personnel available in response to any such
request. Failure to provide assistance in response to a request made pursuant to this
Agreement will not result in any MAAG liability. The Team Commander or
Assistant Team Commander shall notify the governing board members representing
the employing agencies' team members who are deployed anytime that assistance is
provided pursuant to this Agreement. The Team Commander will report to the
governing board quarterly regarding any assistance provided to a party pursuant to
this Agreement. The Team Commander or an Assistant Team Commander may at
any time and in his/her sole judgment recall the team. The decision to recall a team
provided pursuant to this Agreement will not result in liability to the MAAG, any
party, or to the Team Commander or Assistant Team Commander who recalled the
team.
9.5.2. Direction and Control. Personnel and equipment provided pursuant to this
Agreement shall remain under the direction and control of the party providing the

same and also to the tactical control of the licensed peace officer in command of the
scene of the jurisdiction to which assistance is being provided.
9.5.3. Compensation. When the MAAG provides services to a requesting party, the
personnel of the MAAG shall be compensated by their respective employers just as
if they were performing the duties within and for the jurisdiction of their employer.
No charges will be levied by the MAAG or by the parties for specialized response
operations provided to a requesting party pursuant to this Agreement unless that
assistance continues for a period exceeding 24 continuous hours. If assistance
provided pursuant to this Agreement continues for more than 24 continuous hours,
and the assistance is not provided in connection with a police call for service, any
party whose officers provided assistance for MAAG shall submit itemized bills for
the actual cost of any assistance provided, including salaries, overtime, materials
and supplies, to the MAAG and the MAAG shall submit the invoices to the
requesting party. The requesting party shall reimburse the MAAG for that amount,
and the MAAG shall forward the reimbursement to the responding party.
9.5.4. Workers' Compensation. Each party to this Agreement shall be responsible for
injuries to or death of its own employees in connection with services provided
pursuant to this Agreement. Each party shall maintain workers' compensation
coverage or self-insurance coverage, covering its own personnel while they are
providing assistance as a member of the MAAG. Each party to this Agreement
waives the right to sue any other party for any workers' compensation benefits paid
to its own employee or their dependents, even if the injuries were caused wholly or
partially by the negligence of any other party or its officers, employees or agents.
9.5.5. Damage to Equipment. Each party shall be responsible for damage to or loss of
its own equipment occurring during deployment of the MAAG. Each party waives
the right to sue any other party for any damages to or loss of its equipment, even if
the damages or losses were caused wholly or partially by the negligence of any
other party or its officers, employees or agents.
9.5.6. Indemnification. To the fullest extent permitted by law, this Agreement is
intended to be and shall be construed as a "cooperative activity" and it is the intent
of the parties that they shall be deemed a "single governmental unit" for the
purposes of liability, all as set forth in Minnesota Statutes, Section § 471.59, subd.
la(a); provided further that for purposes of that statute, each party to this
Agreement expressly declines responsibility for the acts or omissions of the other
party.
Nothing in this Agreement shall constitute a waiver, the statutory limits on liability
set forth in Minnesota Statutes, Chapter 466 or a waiver of any available
immunities or defenses.
Any excess or uninsured liability shall be borne equally by all the parties, but this
does not include the liability of any individual officer, employee, or agent which
arises from his or her own malfeasance, willful neglect of duty, or bad faith.
Nothing herein shall be construed to provide insurance coverage or indemnification
to an officer, employee or volunteer of any member for any act or omission for

which the officer, employee or volunteer is guilty of malfeasance in office, willful
neglect of duty, or bad faith.
9.6. Aid to Non -Parties. Upon a request for assistance from a governmental unit that is not a
party to this Agreement, a MAAG team may be dispatched to such governmental unit, in
accordance with policies and procedures of the governing board, for a period of time not to
exceed 24 hours, provided that the police chief or Dakota County Sheriff, as appropriate, has
consented to such deployment of his or her employees. Failure to provide assistance in
response to any such request shall not result in any MAAG liability. The Team Commander
or Assistant Team Commander shall notify the chair of the governing board any time such
assistance is provided. The Team Commander or Assistant Team Commander may at any
time and in his/her sole judgment recall the team. The decision to recall a team hereunder
shall not result in any MAAG liability.
9.6. Any party whose officers provided assistance pursuant to this paragraph shall
submit itemized bills for the actual cost of any assistance provided, including
salaries, overtime, materials and supplies to the MAAG and the MAAG shall
submit the invoices to the requesting entity. The MAAG shall forward any
payments it receives in connection with such invoices to the invoicing party.
10. Term. The term of this Agreement shall be effective only when all of the parties have signed this
Agreement. The chair of the governing board shall notify the members in writing of the
effective date of this Agreement. This Agreement shall continue in effect until terminated in
accordance with its terms.
11. Withdrawal and Termination.
11.1. Withdrawal. Any party may withdraw from this Agreement upon 90 days' written notice
to the other parties. Withdrawal by any party shall not terminate this Agreement with
respect to any parties who have not withdrawn. Withdrawal shall not discharge any
liability incurred by any party prior to withdrawal. Such liability shall continue until
discharged by law or Agreement. A withdrawing party shall have no claim to any property
or assets owned or held by MAAG or to any refund of a contribution made pursuant to
paragraph 7.2.
11.2. Termination. This Agreement shall terminate upon the occurrence of any one of the
following events: (a) when necessitated by operation of law or as a result of a decision by a
court of competent jurisdiction; or (b) when a majority of remaining parties agrees to
terminate the Agreement upon a date certain.
11.3. Effect of Termination. Termination shall not discharge any liability incurred by the
MAAG or by the parties during the term of this Agreement. Upon termination and after
payment of all outstanding obligations, property or surplus money held by the MAAG shall
then be distributed to the parties in proportion to their contributions.
12. Miscellaneous.
12.1. Amendments. This Agreement may be amended only in writing and upon the consent of
each of the parties' governing body.

12.2. Records, accounts and reports. The books and records of the MAAG shall be subject to
the provisions of Minn. Stat. Ch. 13.
12.3. Counterparts. This Agreement may be executed in two or more counterparts, each of
which shall be deemed an original, but all of which shall constitute one and the same
instrument. Counterparts shall be filed with the chair of the governing board.
12.4. Additional Parties. Any other municipality within Dakota County or any municipality or
county adjacent to Dakota County may become a party to this Agreement upon approval of
the governing board, adoption of a resolution by the entity's governing body, execution of
this Agreement, and filing of the same with the chair of the governing board.
IN WITNESS WHEREOF, the undersigned governmental units, by action of their governing
bodies, have caused this Agreement to be executed in accordance with the authority of Minnesota
Statute § 471.59.

Fire Calls
The department responded to 19 calls for the month (297 for the year). The majority of calls
were classified as false alarms or as good intent calls. Four of the calls were residential in nature,
and five were commercial alarms. In addition there were two utility checks, two car fires, three
EMS calls, two mutual aid calls, and one dumpster fire.
Monthly Department Training
The monthly department training was hosted by Eagan Fire Department. Eagan station 2 has a
working fire alarm and sprinkler system training simulator. Firefighters received hands on
training in all aspects of issues related to fire alarms and sprinkler systems.
Monthly Squad Training
The monthly squad training focused on the use of the department's rescue struts. The
department has four expandable struts that can be deployed to stabilize vehicles that have rolled
over and landed on their side or roof. When a vehicle lands in one of these positions it can be
very difficult to stabilize. Stabilization of the vehicle must be done before any firefighter can
enter the vehicle and begin EMS.

SUBJECT: Streambank stabilization at Somerset Country Club & Spring Creek Circle
BACKGROUND
Last Spring brought record rainfalls to the State of Minnesota and caused some extensive damage
throughout the State. Locally, Mendota Heights experienced several areas that were damaged due to
the excessive run off. A handful of areas were repaired last fall but more are outstanding.
Ivy Falls Creek, which runs through Somerset Country Club, had a number of gabion grade control
failures. Staff is proposing to reinforce the stream banks with a larger limestone rip rap and install
new grade control with steel sheet piling and rip rap. The outlet control structure is also proposed to
be replaced with the project which will allow the pond to function more efficiently. The gabions
were installed in late 1970's with FEMA disaster funds.
Spring Creek Circle was developed adjacent to Marie Creek which has been experiencing several
areas of erosion. Marie Creek had a slope failure north of the properties of 719 & 727 Spring Creek
Circle. Staff is proposing to armor the stream bank with rip rap to prevent any further loss of soil.
BUDGET IMPACT
Staff has been working with the State of Minnesota on securing disaster relief funds. Preliminary
estimates have identified the Ivy Falls repair being eligible for a 75 percent reimbursement of
$95,000.00. The city has been asked to supply additional data which could potentially allow the
entire project to be reimbursed at 75 percent. The cost estimate is currently calculated at
$163,660.00 not including indirect costs for engineering, surveying, finance, etc. The Spring Creek
Project has not been identified for reimbursement and is estimated to cost $14,952.00. The projects
would be funded through the Storm Sewer Utility Fund which should have an adequate balance after
the State reimbursement.
RECOMMENDATOIN
Staff recommends Council adopt the attached Resolution 2015-12, A RESOLUTION
APPROVING FINAL PLANS AND SPECIFICATIONS, AND AUTHORIZING
ADVERTISEMENT FOR BIDS FOR STREAMBANK STABILAZATION AT SOMERSET
COUNTRY CLUB AND SPRING CREEK CIRCLE. If Council agrees with the staff's
recommendation, pass a motion adopting the attached Resolution.

WHEREAS, the City Engineer reported that the proposed improvements and
construction thereof were feasible, desirable, necessary, and cost effective, and further reported
on the proposed costs of said improvements and construction thereof; and
WHEREAS, the City Council has heretofore directed the City Engineer to proceed with
the preparation of plans and specifications thereof; and
WHEREAS, the City Engineer has prepared plans and specifications for said
improvements and have presented such plans and specifications to the City Council for approval.
NOW THEREFORE BE IT RESOLVED; by the Mendota Heights City Council as
follows:
1. That the plans and specifications for said improvements be and they are hereby in all
respects approved by the City.
2. That the Clerk with the aid and assistance of the City Engineer be and is hereby,
authorized and directed to advertise for bids for said improvements all in accordance with
the applicable Minnesota Statutes, such as bids to be received at the City Hall of the City
of Mendota Heights by 10:00 A.M., Wednesday, February 25, 2015, and at which time
they will be publicly opened in the City Council Chambers of the City Hall by the City
Engineer, will then be tabulated, and will then be considered by the City Council at its
next regular Council meeting.

SUBJECT: Approval of the Installation of a Street Light at Round Hill Road and Dodd Road
BACKGROUND
Staff has received a resident request for a streetlight to be installed at the intersection of Round
Hill Road and Dodd Road. There is an existing electrical pole at the intersection. Past City
practice for installations of streetlights on existing poles has been that Xcel Energy installs the
light at no cost to the City, and the electrical charges are added to the City's streetlight bill. The
City has not traditionally paid for any new pole installations.
BUDGET IMPACT
Installation of the light would be free of charge. The City would have the electrical charges
added to our monthly Xcel Energy bill. The amount of this charge would depend on
consumption, but similar lights in the City are billed at —$9.50/ month ($114.00 per year).
RECOMMENDATION
Staff recommends Council review the request for the Round Hill Road/Dodd Road streetlight. If
Council wishes to approve the resident request, pass a motion directing staff to order the
installation of a street light on Round Hill Road at Dodd Road. This action requires a simple
majority vote.

RE: Street Light Installation Request
Dear John,
My name is Margie Jurich and I am writing to formally request the installation of a city street
light on the corner of Dodd and Round Hill Road in Mendota Heights.
My husband John and I moved to Mendota Heights from Minneapolis almost five years ago. We
have found that driving at night and trying to find Round Hill Road is a dangerous situation. We
have 4 children: 3 of them between the ages of 18-22. Our youngest is 15 years old and just
attaining her drivers permit. This neighborhood is full of teenage drivers with friends coming
and going consistently.
When we give anyone directions to our house, it is always the same conversation if they are
driving to our home at night: `Be careful; is very dark on our corner; the street sign isn't visible
until you are right up next to it; slow down because it is hard to see." We are particularly
nervous when we know a newer driver is arriving at night.
What happens is this: because the corner is so dark and the street sign is nearly impossible to
see, the driver slows down substantially when looking for the sign. If you are corning from the
south (most people are driving in the direction coming off of 110) then the drivers behind you
are coming up fast on your tail. When you brake and slow down to find the street sign, they
either slam on their brakes or they veer off onto the right shoulder, which is an illegal way to
pass. It is frustrating and stressful, and as I said the younger drivers are always the ones we
worry about the most.
We don't want it to take an accident for the light to go up. Thus we are requesting your
assistance in this matter.
An existing pole is currently in place; therefore I believe a light just needs to be installed.

WHEREAS, the City of Mendota Heights is a participating jurisdiction with the Dakota
County CDBG Entitlement Program for Fiscal Year 2015 (July 1, 2015 through June 30, 2016);
and
WHEREAS, the Dakota County Community Development Agency is a sub -grantee of
Dakota County for the administration of the CDBG Program; and
WHEREAS, the Dakota County Community Development Agency has requested federal
fiscal year 2015 CDBG applications be submitted by February 27, 2015, based on allocation of
funds approved in the Community Development Implementation Plan.
NOW THEREFORE, IT IS HEREBY RESOLVED by the City Council of the City of
Mendota Heights, Minnesota that the following points be approved:
1. The Federal Fiscal Year 2015 CDBG application is approved for submission to the Dakota
County Community Development Agency.
2. The City Administrator of the City of Mendota Heights is authorized to execute the
application and all agreements and documents relating to receiving and using the awarded
CDBG funds.
3. The Dakota County Community Development Agency is designated as the administrative
entity to carry out the CDBG Home Rehabilitation Loans program on behalf of the City of

SUBJECT: Probationary Firefighter Appointments
BACKGROUND
The Fire Department currently has one opening. Over several months, the Fire Department
Officers and Tammy Schutta, Assistant to the City Administrator/HR Coordinator, have been
involved in screening new applicants. The screening process included a job application, the
completion of a physical agility test that checks for fear of heights and claustrophobia, (two
items we cannot overcome with training), an oral interview, background check and physical.
We would like to recommend Patrick Noack to be appointed as a Probationary Firefighter.
BUDGET IMPACT
The interview board discussed the appointment of Patrick Noack and recommends him as a
probationary firefighter. The probationary firefighter pay is $8.36 for fire calls and training.
RECOMMENDATION
If the Council agrees with the hiring Patrick Noack, they should pass a motion appointing him as
a probationary firefighter. Patrick Noack's date of employment will be based upon final results
of his background check and physical examination. A simple majority vote is all that is needed
on this issue.

"Pam is the friendly voice of city hall. She greets each customer warmly and always
with a smile. She shows patience and listens attentively when helping the customers.
She is very efficient and thorough in her work. Pam is truly a team player, always
willing to help out whenever and wherever needed."
Ethical — Lorri Smith, City Clerk
One of the hallmarks of our governmental system in that residents have trust in our
electoral process. When those running for election are well known to the public and
have connections to the city, it is extremely important that the perception of our
elections be above reproach. Lorri's dealings with the candidates and voters made
sure that the outcome and process was never questioned and the ethical manner in
which she conducted herself resonated through all of the election judges as well.
Service Oriented — Bobby Crane, Senior Engineering Technician
"Bobby is always willing to help out with anything, whenever it's requested of him, and
he goes above and beyond to complete the task at hand. Often times the task is not
even related to his engineering position, and he always stops what he's doing to help a
co-worker in need. I know I can go to Bobby for anything, and if he can't figure
something out right away, he does not stop until he has figured it out." Another added
"Bobby's approach to his duties, the compliments he receives, and the image of the
City he portrays reflect great credit upon himself, the public works department, and the
City of Mendota Heights as a whole."
Professional — Kim Henning, Police Support Specialist
"Kim is required to wear many different hats as a police support specialist and she
wears them all with a positive attitude and gives 100%. She is always looking for ways
to make the department work more efficiently." Another added "She gets yelled at on
the phone daily, but is always professional and polite with people, even when they are
showing her disrespect. She exemplified professionalism in the midst of the worst
possible situation ever. I sometimes look back and wonder how she did it, but I know
that the reason is because she does it every day."

BACKGROUND
Tonight on the council agenda is the service award presentation and years of service recognition. Four
new firefighters were appointed to the Mendota Heights Fire Department at the December 16, 2014 city
council meeting. The four probationary firefighters have been invited to attend tonight's meeting to be
formally introduced to the city council and city employees. The four fighters are:
Patrick Bietz: Patrick lives on Mary Adele Avenue is employed as a transportation underwriter at
Scottsdale Insurance. He started on the fire department on December 16, 2014.
Daniel Goldenstein: Daniel lives on Mendakota Court and is a college student at the University of St.
Thomas. His start date on the fire department was December 16, 2014. He is also the son of Captain
Scott Goldenstein.
Frank Hazzard: Frank lives on Ruby Drive and is employed as a forklift operation with CEVA. Franks'
start date on the fire department was December 16, 2014.
Scott Longsdorf: Scott lives on Concord Way and is employed as a track maintainer for Metro Transit.
Scott's start date on the Fire Department was January 3, 2015.

SUBJECT: Swearing in of the Chaplains
INTRODUCTION:
The Mendota Heights Police Department has had a Chaplain Program in conjunction with the
West St. Paul Police Department since 2003. Currently we have six active on call volunteer
chaplains who help serve our citizens and support our officers during critical situations as well as
routine duties. All of the Chaplains attend quarterly meetings with the departmental liaisons as
well as attend periodic training and conferences. Lynn Liberman is the Chaplain Liaison and
Sue Plucker is the Assistant Chaplain Liaison. Without these two woman, the program would
not be what it is today.
We ask of our Chaplains to take an oath of office as a symbolic commitment to our communities.
Upon their first initiative to volunteer, an identification badge is provided to them for use of
identifying themselves at scenes and symbolizes their representation to our department's mission
to serve and protect.
We greatly appreciate the dedication and service our Chaplains provide to our departments and
community and would like to recognize them for all that they have done and will continue to do.
I would like to introduce our current Chaplain staff:

The City of Mendota Heights is served by three commissions which are advisory to the city
council. Members of the airport relations commission, parks and recreation commission and
planning commission appointed by the city council serve three year terms. The following
commissioners are at the end of their current term and eligible for reappointment:
Planning Commission: Doug Hennes and Mary Magnuson
Airport Relations: David Sloan and William Dunn
Parks and Recreation: Pat Hinderscheid and Ira Kipp
Each of these commissioners has expressed their interest in serving an additional three-year term
with their respective commissions.
Airport Relations Commission member Paul Portz's term expired on 1/31/2015 and he did not
wish to be reappointed for an additional three-year term. Planning Commission member Robin
Hennessy resigned from her position last fall, because she moved out of the city. There is one
year remaining for Ms. Hennessy's term.
This evening the City Council also interviewed several candidates for the airport relations
commission, planning commission and the parks and recreation commission. After interviews
with the commission applicants, the city council may consider adding names to the attached
resolution for the planning commission, airport relations commission and the parks and recreation
commission.

WHEREAS, the City Council of the City of Mendota Heights benefits from the active
participation of citizens in our advisory commissions; and
WHEREAS, the City Council recognizes the excellent service provided by the following
commission members/representatives whose terms expire in January 2015.

BACKGROUND
At the January 6, 2015, the Mendota Heights City Council reviewed the Joint Powers Agreement
for Renovation of the John V. Hoene Ice Area. There was a lengthy discussion on the termination
of the JPA and adding additional language to the agreement. Attached is a memo from the City
Attorney Thomas Lehmann addressing the councils concerns.
In 2014, the Mendota Heights City Council authorized a commitment of $555,333.00 towards the
renovation and refurbishment of the West St. Paul Ice Arena. The Joint Powers Agreement
addresses the City Council's conditions discussed previously. Mendota Heights will be a full
partner in reviewing the scope of this project. The City will make 1/2 of the contribution in 2015
and the second 1/2 will be paid in 2019.
The term of this agreement is for 20 years. If the Ice Arena closes before December 31, 2021,
Mendota Heights may terminate this agreement and request reimbursement for our respective
portion of the contributed project construction costs on a pro -rated basis. However, if the Ice Arena
closes after January 1, 2022, due to any of the following:
(a) Local youth hockey programs rents less than 65% of the ice time at the Ice Arena than the
youth hockey programs rented the previous year;
(b) School District discontinues its hockey program or rents less than 65% of the ice time at
the Ice Arena than the School District rented the previous year; or
(c) Uncontrollable Circumstances.
Then the City of Mendota Heights would not be entitled to reimbursement for any portion of the
contributed project construction costs.
The attached JPA has been reviewed by the City/School District Attorney for each member. The
JPA has been reviewed by our City Attorney Lehmann.
Staff recommends adopting Resolution 2015-08, authorizing participation in a Joint Powers

You recently inquired whether the Joint Powers Agreement could be redrafted so as to add
additional time in which the City could be reimbursed if the arena were to close. In my
conversations with the City Attorney for West St. Paul the best they can do is seven (7) years. I had
pressed for ten (10) years but they cannot take on that liability for that length of time. If the Council
agrees, the new clause would read as follows:
Termination for Closing Prior to 20 years. If the Ice Arena closes before December 31,
2021, School District or Mendota Heights may terminate this Agreement and may request
reimbursement for their respective portion of the contributed Project Construction Costs that
have been paid to West St. Paul, on a pro -rated basis. However, if the Ice Arena closes after
January 1, 2022, due to any of the following:
(a) Local youth hockey programs rents less than 65% of the ice time at the Ice Arena than
the youth hockey programs rented the previous year;
(b) School District discontinues its hockey program or rents less than 65% of the ice time

It is my opinion that to press this issue further with WSP would not be fruitful. The willingness to
go to seven (7) years would be the best that we could hope for. I would ask the City Council to
approve the language as set forth above and I will forward to the City attorney for WSP to put in the
JPA and indicate that with that language the City of Mendota Heights is prepared to execute the
JPA.

JOINT POWERS AGREEMENT FOR THE RENOVATION OF THE
JOHN V. HOENE ICE ARENA
This Joint Powers Agreement ("Agreement") is between the City of West St Paul ("West St. Paul"), the
City of Mendota Heights ("Mendota Heights") and Independent School District 197 ("School District"),
collectively referred to as the "Parties."
1. GENERAL PURPOSE
Under Minn. Stat. §471.59, the Parties are empowered to enter into agreements for the joint exercise
of powers with other governmental units. The John V. Hoene Ice Arena, which is located in West
St. Paul, serves students and adult skating and hockey needs for Henry Sibley High School and other
youth hockey programs. The Ice Arena is in need of upgrades, repairs, replacement of the
refrigeration system and an extensive renovation in order to provide a facility that will serve the
needs of the Parties for the next 20 years.
2. TERM OF AGREEMENT
The term of this Agreement shall commence on November 1, 2014, or the date all required
signatures are obtained, whichever is later, ("Effective Date") and shall remain in full force and
effect for 240 months from the Effective Date ("Term") unless terminated by the Parties as provided
in this Agreement, whichever occurs first.
3. DEFINITIONS
In this Agreement the following terms shall be defined as follows unless the context requires
otherwise:
3.1. Agreement: This Agreement, as it may be amended, supplemented, or restated from time to
time.
3.2. Change Order: A written order to the Contractor approved by the Parties to this Agreement
and signed by the West St. Paul Representative on behalf of the Parties authorizing a change in
the work included within the Contract Documents and/or an adjustment in the price and/or an
adjustment in the construction schedule, issued after execution of the contract for the
construction of the Project.
3.3. Contract Documents: Drawings, specifications, general and special conditions, addenda, if
any, Change Orders, and the construction contract for the Project, approved by the Parties, or
their respective representatives.
3.4. Contractor: The person or entity that is awarded the contract for the construction of the
Project. The Contractor's construction contract for the Project shall be with West St. Paul.

3.5. Ice Arena: The John V. Hoene Ice Arena, located at 60 West Emerson Avenue, West St.
Paul, Dakota County, Minnesota.
3.6. Mendota Heights: The City of Mendota Heights, a Minnesota municipal corporation.
3.7. Mendota Heights Representative: The Mendota Heights City Administrator, or his designee.
18. Project: The renovation of the John V. Hoene Ice Arena, further described on Exhibit A,
attached hereto and incorporated herein.
3.9. Project Construction Costs: All costs for and associated with Project construction.
3.10. School District: Independent School District 197, a Minnesota public corporation.
3.11. School District Representative: The School District Superintendent or designee.
3.12. Uncontrollable Circumstances: The occurrence or non-occurrence of acts or events beyond
the reasonable control of the Party relying thereon, and not the result of willful or negligent
action or inaction of the Party claiming the event as an Uncontrollable Circumstance, that
materially and adversely affects the performance of the Party claiming the event as an
Uncontrollable Circumstance including but not limited to the following:
(a) Acts of God, including, but not limited to floods, ice storms, blizzards, tornadoes,
landslides, lighting and earthquakes (but not including reasonably anticipated
weather conditions for the geographic area), riots, insurrections, war or civil disorder
affecting the performance of work, blockades, power or other utility failure, and fires
or explosions.
(b)
The adoption of or change in any federal, state, or local laws, rules, regulations,
ordinances, permits, or licenses, or changes in the interpretation of such laws, rules,
regulations, ordinances, permits, or licenses by a court or public agency having
appropriate jurisdiction after the date of the execution of this Agreement.
(c) A suspension, termination, interruption, denial, or failure of renewal of any permit,
license, consent, authorization, or approval essential to the construction of the Project.
(d) Orders and/or judgments of any federal, state, or local court, administrative agency, or
governmental body, provided, however, that the contesting in good faith by such Party
of any such order and/or judgment shall not constitute or be construed to constitute a
willful or negligent action or inaction of such Party.
(e) Strikes or other such labor disputes shall not be considered an Uncontrollable
Circumstance, unless such strike or labor dispute involves persons with whom the
Parties have no employment relationship and for whom, despite using best efforts, the
Parties cannot obtain substitute performance.

3.13. West St. Paul: The City of West St. Paul, a Minnesota municipal corporation.
3.14. West St. Paul Representative: The West St. Paul City Manager, or his designee.
4. PROJECT DEVELOPMENT, DESIGN, CONTRACT AWARD, CONSTRUCTION
4.1. Development and Design. The Parties will jointly develop and design the scope of the
Project.
4.2. Contract Award. The Contract Documents shall be approved by the Parties prior to the
solicitation of bids. In accordance with the applicable provisions of Minnesota Statutes Ch.
429, West St. Paul will cause bids to be received by it for the construction of the Project and,
subject to approval by the Mendota Heights and School District Representatives, shall award
the contract for the construction of the Project to the lowest responsible bidder.
4.3. Project Construction. Subject to Uncontrollable Circumstances, West St. Paul shall cause the
Project to be constructed in accordance with the Contract Documents.
4.4. Construction Administration. West St. Paul shall perform appropriate Project construction
administration services, including, without limitation, representation of the Parties hereto with
regard to activities of the Contractor at the construction site, periodic observations of the work
at the construction site, initiate appropriate action to present or have corrected as appropriate,
any work observed not to be in accordance with the Contract Documents, process Change
Orders, and process Contractor pay request. West St. Paul shall not be responsible for the acts
or omissions of the Contractor nor shall West St. Paul be responsible for construction means,
methods, techniques, sequences, procedures or safety precautions at the construction site.
4.5. Change Orders. The Parties acknowledge that Contract Documents will be entered into by
West St. Paul on behalf of the Parties with respect to the Project, and that Change Orders or
other documents may be entered into by the Parties, or by West St. Paul on behalf of the
Parties, with respect to the Project. To the extent any Change Order increases the cost of the
Project described in Exhibit A which would result in an increase in the contribution of one or
both of the other Parties, West St. Paul must not approve such a Change Order without the
approval of the governing body of the Party or Parties affected by the increased cost of the
Project. This Agreement shall be construed so as to give the fullest effect to its provisions,
consistent with the provisions of the other contracts and documents referred to above.
5. PROJECT COSTS
5.1. Allocation. The expenses associated with the Project shall be allocated amongst the Parties as
follows:
(a) West St. Paul shall contribute $555,333.00 through general obligation bonds issued on
or before July 1, 2015.
(b)
School District shall contribute $555,333.00 by paying West St. Paul by check or wire
transfer on or before May 15, 2015.

(c) Mendota Heights shall contribute $555,333.00 by paying West St. Paul by check or
wire transfer as follows:
1. $277,666.50 on or before May 15, 2015
2. $277,666.50 on or before January 15, 2019
5.2. Payments to Contractor. West St. Paul shall make progress payments to the Contractor for the
construction of the Project, and upon prior approval of the Parties, shall make the final
payment to the Contractor in accordance with the Contract Documents as agent for the other
Parties and on its own behalf.
6. REPRESENTATIVES
To assist the Parties in the day-to-day performance of this Agreement and to ensure compliance with the
specifications and provide ongoing consultation, representatives shall be designated by the Parties. The
Parties shall inform the others, in writing, of any change in the designated representative. At the time of
execution of this Agreement the designated representatives are identified in Section 3, the Definitions
Section of this Agreement.
7. LIABILITY AND INSURANCE
Each Party to this Agreement shall be liable for its own acts or omissions and those of its own
employees and the results thereof to the extent authorized by law, and shall not be responsible for the
acts of the other Party, its agents or employees.
It is understood and agreed that liability and damages arising from the Parties' acts and omissions are
governed by the provisions of the municipal Tort Claims Act, Minn. Stat. Ch. 466, the Minnesota Tort
Claims Act and other applicable laws. Each Party warrants that it is able to comply with the
aforementioned liability and insurance requirements through an insurance or self-insurance program and
that each has minimum coverage consistent with the liability limits contained in Minn. Stat. Ch. 466.
This Agreement shall not be construed as and does not constitute a waiver by any Party of any
conditions, exclusions or limitations on the Party's liability provided by Minnesota Statutes, Chapter
466, or other applicable laws. This clause will not be construed to bar any legal remedies that each
Party may have for another's failure to fulfill its obligations under this Agreement.
8. GOVERNMENT DATA PRACTICES
The Parties must comply with the Minnesota Government Data Practices Act, Minn. Stat. Ch. 13, as it
applies to all data provided by each Party under this Agreement, and as it applies to all data created,
collected, received, stored, used, maintained, or disseminated by any Party under this Agreement.
9. VENUE
Venue for all legal proceedings out of this Agreement, or its breach, must be in the appropriate court of
competent jurisdiction in Dakota County, Minnesota.

10. TERMINATION
10.1. Termination. This Agreement may be terminated by any Party for Cause. "Cause" is
defined as a breach of this Agreement by a Party or a Party's habitual neglect in the
performance of its obligations pursuant to this Agreement. Cause will not be deemed to
exist unless and until the Party asserting that a breach or habitual neglect has occurred
provides the Party in breach or habitual neglect with written notice providing specific notice
of the breach or habitual neglect and a sixty (60) calendar day opportunity to cure the breach
or habitual neglect and the Party in receipt of the notice of breach or habitual neglect fails to
remedy such breach or habitual neglect within sixty (60) calendar days. Upon termination of
this Agreement for Cause, School District or Mendota Heights may request reimbursement
for their respective portion of the contributed Project Construction Costs that have been paid
to West St. Paul, on a pro -rated basis.
10.2. Termination for Insufficient Funding. Any Party may immediately terminate this
Agreement if West St. Paul fails to successfully issue general obligation bonds to fund its
portion of the Project. A Party is not obligated to pay for any services that are provided after
notice and effective date of termination. A Party will not be assessed any penalty or
damages if the Agreement is terminated due to lack of funding under this paragraph. West
St. Paul must provide the other Parties notice of the lack of funding within a reasonable time
of receiving that notice.
10.3. Termination for Closing Prior to 20 years. If the Ice Arena closes before December 31,
204-92021, School District or Mendota Heights may terminate this Agreement and may
request reimbursement for their respective portion of the contributed Project Construction
Costs that have been paid to West St. Paul, on a pro -rated basis. However, if the Ice Arena
closes after January 1, 20202022, due to any of the following:
(a) Local youth hockey programs rents less than 65% of the ice time at the Ice Arena
than the youth hockey programs rented the previous year;
(b) School District discontinues its hockey program or rents less than 65% of the ice
time at the Ice Arena than the School District rented the previous year; or
(c) Uncontrollable Circumstances,
then no Party shall be entitled to reimbursement for any portion of the contributed Project
Construction Costs.
10.4. On -Going Ownership and Operation of Ice Arena. At the end of the Term of this
Agreement or upon its termination as described in this Article 10, West St. Paul will
continue to own and operate the Ice Arena at its own expense, for a period of at least 20
years.

11. MISCELLANEOUS PROVISIONS
11.1. Execution in Counterparts. This Agreement may be executed in any number of
counterparts and by the Parties hereto on separate counterparts, each of which counterparts
when so executed and delivered shall be deemed to be an original, and all of which
counterparts when taken together shall constitute but one and the same Agreement.
11.2. Assignment. No Party may assign or transfer any rights or obligations under this
Agreement without the prior consent of the other Parties and a fully executed Assignment
Agreement, executed and approved by the same Parties who executed and approved this
Agreement, or their successors in office.
11.3. Amendments. Any amendment to this Agreement must be in writing and will not be
effective until it has been executed and approved by the same Parties who executed and
approved the original Agreement, or their successors in office.
11.4. Waiver. If any Party fails to enforce any provision of this Agreement, that failure does
not waive the provision or its right to enforce it.
11.5. Contract Complete. This Agreement contains all negotiations, understandings and
agreements between the Parties. No other understanding, agreement or revision regarding
this Agreement, whether written or oral, may be used to bind any Party unless stated in
writing and signed by all Parties.
11.6 Severability. In case any one or more of the provisions of the Agreement will be invalid,
illegal, or unenforceable in any respect, the validity, legality, and enforceability of the
remaining provisions contained in this Agreement will not in any way be affected or
impaired thereby.
11.7 Notices. All notices or communications required or permitted pursuant to this Agreement shall be
either hand delivered or mailed to the Parties, certified mail, return -receipt requested, to the following
address:

RESOLUTION FORMALLY AUTHORIZING PARTICIPATION IN A JOINT POWERS
AGREEMENT (JPA) FOR THE RENOVATION OF THE
JOHN V. HOENE ICE ARENA
WHEREAS, the City of Mendota Heights recognizes the importance of the John V.
Hoene Ice Arena, located in West St. Paul, to the northern Dakota County area; and
WHEREAS, the ice arena is in need of repairs and upgrades, without which may require
the closing of the arena; and
WHEREAS, the Mendota Heights City Council on September 16, 2014 approved a letter
pledging up to $555,333 towards the renovation of the ice arena in conjunction with the City of
West St. Paul and ISD 197; and
WHEREAS, the City Council Mendota Heights will make 1/2 of the contribution in 2015
with the second 1/2 being paid in 2019; and
WHEREAS, the City Council of Mendota Heights have duly considered this matter and
wish to enter into an agreement for the renovation of the John V. Hoene Ice Arena.
NOW THEREFORE BE IT RESOLVED that the City Council of the City of Mendota
Heights, Minnesota has by RESOLUTION 2015-08 FORMALLY AUTHORIZED
PARTICAPTION IN A JOINT POWERS AGREEMENT FOR THE RENOVATION OF
THE JOHN V. HOENE ICE ARENA.

BACKGROUND
In December council awarded a contract to Buetow 2 Architects, Inc. to do a space study for the fire
department needs. The department is forming a study committee to help inform the consultant and steer
their work. It would be my request that two councilmembers be appointed to serve on the study
committee. I would expect that we would meet every 2-3 weeks in February, March and April with a
final consultant report due May 19th
BUDGET IMPACT
There is no budget impact with this request.
RECOMENDATION
Discuss and appoint two members of the Council to serve on the study taskforce.
