MENDOTA HEIGHTS, MINNESOTA
HELD: June 17, 2003
Pursuant to due call and notice thereof, a regular meeting of the City Council of
the City of Mendota Heights, Minnesota, was duly called and held at the City Hall in said City
on the 17th day of June, 2003, at 7:30 o'clock P.M.
The following members were present: Huber, Duggan, Schneeman and Vitelli
and the following were absent: Krebsbach
Member Vitelli introduced the following resolution and moved its adoption:
RESOLUTION NO. 03-40
RESOLUTION CALLING FOR REDEMPTION OF
GENERAL OBLIGATION BONDS OF 1987;
GENEAL OBLIGATION IMPROVEMENT BONDS OF1988
GENERAL OBLIGATION BONDS OF 1989
GENERAL OBLIGATION IMPROVEMENT BONDS OF 1991; AND
GENERAL OBLIGATION IMPROVEMENT BONDS OF 1992

A. The City of Mendota Heights, Minnesota, has heretofore issued its
General Obligation Bonds of 1987, dated August 1, 1987 (the "1987 Bonds"), its General
Obligation Improvement Bonds of 1988, dated July 1, 1988 (the "1988 Bonds"), its General
Obligation Bonds of 1989, dated November 1, 1989 (the "Series 1989 Bonds"); its General
Obligation Improvement Bonds of 1991, dated November 1, 1991 (the "1991 Bonds") and its
General Obligation Improvement Bonds of 1992, dated December 1, 1992 (the "1992 Bonds")
(the 1987 Bonds, the 1988 Bonds, the 1989 Bonds, the 1991 Bonds and the 1992 Bonds are
collectively referred to as the "Bonds");
B. The 1987 Bonds maturing in the year 2004, the 1988 Bonds maturing in
the years 2004 and 2005 both inclusive, the 1989 Bonds maturing in the years 2004 through
2006, both inclusive; the 1991 Bonds maturing in the years 2004 through 2010, both inclusive;
and the 1992 Bonds maturing in the years 2004 through 2011, both inclusive are currently
subject to redemption and prepayment at the option of the City at a price of par plus accrued
interest;

C. The City Council deems it desirable and in the best interests of the City to
call said 1987 Bonds, maturing in the years 2004, the 1988 Bonds maturing in the years 2004
and 2005, both inclusive, the 1989 Bonds maturing in the years 2004 through 2006, both
inclusive, the 1991 Bonds maturing in the years 2004 through 2010, both inclusive, and the 1992
Bonds maturing in the years 2004 through 2011, both inclusive, on August 1, 2003 in accordance
with said resolutions authorizing the issuance of said Bonds;
NOW THEREFORE, BE IT RESOLVED by the City Council of the City of
Mendota Heights, Minnesota, as follows:
1. The 1987 Bonds of the City maturing in the year 2004, the 1988 Bonds of
the City maturing in the years 2004 and 2005, the 1989 Bonds of the City maturing in the years
2004 through 2006, the 1991 Bonds of the City maturing in the years 2004 through 2010 and the
1992 Bonds of the City maturing in 2004 through 2011 shall be redeemed and prepaid on August
1, 2003 at a price of par and accrued interest.
2. The City Administrator is hereby authorized and directed to cause notice
of the call to be mailed to the paying agent for the Bonds at least 30 days prior to August 1, 2003
for the Bonds. The notices shall be in substantially the forms attached hereto as Exhibits A, B,
C, D and E.
The motion for the adoption of the foregoing resolution was duly seconded by
member Schneeman and upon a vote being taken thereon, the following voted in favor thereof;

Whereupon said resolution was declared duly passed and adopted.
Adopted by the City Council of the city of Mendota Heights this 17th day of June, 2003.

principal amount. The Bonds are being called at a price of par, plus accrued interest to August 1,
2003, on which date all interest on said Bonds will cease to accrue. Holders of the Bonds hereby
